NEWSFLASH | Reinstatement is the primary remedy for a substantively #UnfairDismissal, however there are exceptions where #reinstatement will not be appropriate. NEWSFLASH | Breaking news in South Africa! According to an announcement made last night (26 July 2024), the President has signed the long-awaited First and Second Companies Amendment Bills into law. The most material changes introduced by the Bills relate to remuneration disclosures and, from a transaction perspective, the new thresholds that trigger the need for private companies to comply with the Takeover Regulations and the scrutiny of the Takeover Regulation Panel. The time is nigh for: 1) Public and state-owned companies to prepare for the structuring of binding remuneration policies, alignment of remuneration reporting and pay gap disclosures, and new social and ethics committee requirements. 2) Private companies with 10 or more direct or indirect shareholders that are contemplating an affected transaction to ready themselves for the potential of additional regulatory scrutiny of their deals by the Takeover Regulation Panel. 3) All companies to give thought to the alternative dispute resolution mechanisms that they have agreed to in their corporate documents and whether or not these are still appropriate considering amendments. 4) Corporates to be aware that their annual financial statements and any disclosures included in their financials, director and officer remuneration or otherwise, will become public information. It was a great pleasure to share thoughts on conflict of interest and disclosure requirements with Fenner Moeran, KC. this was a collaborative effort between the Law Society of Kenya and the Bar Council of England and Wales. My key takeaways were: It is imperative that an advocate avoids situations that may impair independent judgment by avoiding instances of conflict of interest. There is a duty to disclose conflict to the client at the moment it arises. Whilst there is no law against acting for a former client, there can be a practical relationship conflict that is to be considered. To avoid embarrassment, simply get a client's written consent to act in a matter that may have potential conflict. #LSK #professional ethics

NEWSFLASH | The Climate Change Act, 2022 was published on 23 July 2024. However, it will only come into operation on a date fixed by the President by proclamation in the Government Gazette. The most significant impact of the Act for the private sector is the framework for the regulation of #greenhousegas emitting sectors. The Act is a welcome attempt by Government to reduce #GreenHouseGasEmissions and achieve the ultimate goal of #netzero by 2050.
