The Lenox Group is a middle market investment bank providing M&A advisory and capital raising services to closely held businesses. Industries of focus include niche manufacturing, value added distribution, healthcare (services and technology), metals & mining, business services and technology. We work with business owners helping them to determine whether to sell through markets analysis and valuation services. In addition, we help them navigate the private equity, debt markets and M&A worlds, when they move forward with a proactive process. Our value add includes the identification of prospective buyers or investors, evaluating & vetting these groups, modeling & structuring an appropriate capital transaction, negotiating on the clients behalf, as well as closing in a timely manner. We work with clients across all geographies, predominately in North America. Typical transaction sizes range from $15MM to $300MM in enterprise value, however, for capital raising transactions we will go smaller.

April 25, 2024 – Atlanta, GA – The Lenox Group ("Lenox") advised Metals & Materials Engineers, L.L.C. ("MME" or “the Company”) on its majority recapitalization by AllClear Underground Solutions (“AllClear”), a portfolio company of Crescentia Capital (“Crescentia”) and Blue Marlin Partners, LLC (“Blue Marlin”). Founded in 2001 by Barry Bennett and headquartered in Stone Mountain, GA, Metals & Materials Engineers, L.L.C. focuses on three core divisions for infrastructure related projects: Wastewater, Storm Water, and Water Distribution Systems. The Company’s wide range of disciplines include specializations in utility services; civil engineering; sewer system evaluation surveys; sanitary sewer flow monitoring; piping CCTV evaluations; manhole raising and rehabilitations; water meter and line replacements; and ground penetrating radar services. Mr. Bennett will remain a minority shareholder in the combined Company. The Lenox Group was first introduced to Mr. Bennett in early 2023 as he was considering next steps for his business. Regarding the engagement and process, Mr. Bennett commented “I am thrilled to have selected The Lenox Group to represent MME in our efforts to find the right partner for the business. Lenox took the time to understand our Company and prioritize our goals in the transaction. The Lenox team worked tirelessly to provide the best outcome possible for MME”. Formed in 2022 and headquartered in Tampa, FL, AllClear Underground Solutions is a provider of open-cut water and wastewater pipe repair, cementitious and epoxy-based manhole and asset rehabilitation, trenchless cured-in-place pipe (CIPP) lining, closed-circuit television (CCTV) pipe inspection, and other underground rehabilitation services. CEO Brian Johnson and President Kevin Rowland led the transaction for AllClear. Crescentia Capital is the private equity buyout business of Calvert Street Investment Partners, a Baltimore, MD based private equity and private credit group that has been partnering with family and founder-led businesses for over 30 years. Stephen Randall, Alex Puthumana, and Brent Peterson led the transaction for Crescentia Capital. Blue Marlin Partners, LLC is a private equity firm based in Washington, D.C. Christopher Swarbrick represented Blue Marlin. Bennett Thrasher provided tax and consulting accounting services to MME. Philadelphia, PA based Stevens & Lee represented AllClear as legal counsel. Plante Moran represented AllClear on accounting matters as well.
