Legal Counsel

This position reports to the Managing Director of the Company at the Company headquarters.

Roles and Responsibilities:

We are seeking a highly skilled and motivated Legal Counsel to join our growing Company. As a key member of the team, you will have the opportunity to work on complex corporate transactions, advise clients on legal matters, and contribute to the strategic growth of our practice. This role offers a stimulating and challenging environment for individuals with a passion for corporate law and a drive for excellence.


Responsibilities:

  • Provide legal counsel and strategic advice to Management/Human Resources on a wide range of corporate matters, including mergers and acquisitions, corporate governance, securities regulations, and contract negotiations.
  • Conduct thorough legal research, analyze complex issues, and prepare well-reasoned legal opinions and memoranda.
  • Draft and review legal documents, including contracts, agreements, and corporate policies, ensuring compliance with applicable laws and regulations.
  • Assist in due diligence processes for corporate transactions, including reviewing and analyzing financial documents, contracts, and other relevant materials.
  • Reviewing and analyzing Insurance documents and provide feedback.
  • Collaborate with cross-functional teams, including finance, tax, and compliance, to ensure seamless execution of corporate transactions and compliance with legal requirements.
  • Participate in negotiations and discussions with opposing counsel, clients, and regulatory authorities.
  • Stay updated on changes in corporate law, regulations, and industry best practices, and provide recommendations for adapting firm strategies accordingly.
  • Mentor and supervise junior attorneys, providing guidance and support in their professional development.
  • Build and maintain strong relationships with clients, providing exceptional client service and delivering solutions that meet their business objectives.


Essential Functions

Qualifications & Requirements

  • Bachelor's degree from an accredited law school
  • 5 plus years of experience in a reputable law firm or corporate legal department, with a focus on corporate law.
  • Strong knowledge of corporate transactions, securities regulations, corporate governance, and contract law.
  • Exceptional legal research, analytical, and problem-solving skills.
  • Excellent written and verbal communication abilities, with the capacity to effectively communicate complex legal concepts to clients and colleagues.
  • Proven ability to manage multiple projects simultaneously, meet deadlines, and prioritize tasks effectively.
  • Detail-oriented mindset with strong organizational skills and a keen eye for accuracy.
  • Collaborative team player with excellent interpersonal skills and the ability to build relationships with clients and colleagues.
  • Strong communication and interpersonal skills, able to interface effectively with all levels of the organization.


WORKING CONDITIONS:

  • Full-time position
  • Office environment with occasional need for travel to supplier or customer locations.
  • Ability to handle high-stress situations and tight deadlines.
