Summary of Position

Neural Labs Inc. is looking for a high performing General Counsel. This role will be responsible for general oversight of the legal affairs of Neural Labs Inc. and its affiliates and subsidiaries, with a special emphasis on its venture funds and merge and acquisition strategy This role requires a dynamic individual with a strong background in corporate law, M&A, venture capital, and startup environments.


This is a full-time, remote position.


Key Responsibilities:

  • Develop and implement legal strategies to support Neural Labs Inc.'s business objectives and growth.
  • Advise the executive team and board of directors on corporate governance matters, including best practices, securities and blue-sky law compliance, fiduciary duties, board composition, and effective corporate policies.
  • Draft, review, and negotiate a comprehensive range of legal documents, including commercial contracts, joint ventures, licensing agreements, intellectual property rights, service contracts, transaction documents, employment agreements, shareholder agreements, and other corporate documents.
  • Maintain comprehensive corporate records and knowledge of, cap tables, HR documents, employee records, board minutes, and shareholder agreements, ensuring compliance with corporate governance best practices and legal requirements.
  • Advise executive members on new laws, existing laws and legal rights that would impact functionality of the business.
  • Identify and assess legal risks to the business and develop strategies to mitigate these risks.
  • Provide legal guidance to support startup initiatives within Neural Labs Inc., including new product launches and strategic partnerships.
  • Facilitate the development of innovative solutions by advising on legal implications and structuring agreements that support business objectives.
  • Oversee all legal aspects of business transactions, including mergers, acquisitions, divestitures, and strategic partnerships.
  • Advise on cross-border transactions and coordinate international legal operations.
  • Support venture capital activities, including fundraising and structuring investment funds.
  • Support investor relations by ensuring effective communication, compliance with regulatory requirements, fostering strong relationships with investors, and reviewing quarterly and annual investor reports.
  • Draft and file regulatory filings with the SEC and state regulatory bodies, as necessary.
  • Provide counsel on litigation and dispute resolution, managing external counsel as needed.
  • Collaborate with executives, internal and external counsel, and stakeholders to align legal strategies with business goals.
  • Prepare and deliver presentations to the executive team and board of directors on legal matters.
  • Ensure effective communication and coordination across departments to support organizational objectives.
  • Base your decision-making process on ethics and integrity.



Qualifications:

  • 15+ years of legal experience with a focus on corporate law, especially venture capital, private equity transactions, and mergers and acquisitions, preferably 5+ years in an in-house position.
  • MBA and JD (preferably but not required from a dual program) from an American Bar Association accredited law school.
  • Member in good standing of the Bar of any state or District of Columbia.
  • Strong experience in negotiating with opposing counsel and managing complex legal transactions.
  • Proven track record of working with startups, either in an in-house or advisory capacity.
  • Experience in managing or supporting investor relations.
  • Experience with cross-border transactions and international legal operations.
  • Strong network of investors, venture capitalists, fund management firms, and international law firms.
  • Ability to proactively identify risks and challenges and offer practical solutions.
  • Excellent executive communication skills, with the ability to effectively coordinate with internal and external counsel, executives, and stakeholders.
  • Ability to supervise and train employees, to include organizing, prioritizing, and scheduling work assignments.
  • Ability to provide competent advice and counsel to senior executives on a wide range of legal and policy issues.
  • Ability to analyze and interpret issues and to prepare legal opinions.
  • Ability to foster a cooperative work environment.
