Associate Legal Counsel

Overview:

The real estate entity of Friendly Franchisees Corporation (FFC) is a fast-growing ownership and management company specializing in the acquisition, development, and management of multi-family apartment properties in Southern California, Arizona, and Texas. With a portfolio of 40 properties totaling 2000 units, FFC is seeking a talented and motivated legal professional to join our legal team as an Associate Counsel - Transactions.

In this critical role, you will handle various legal matters including financing transactions, operations transactions, acquisition due diligence, corporate structure, and other legal projects. This position requires a highly motivated individual with strong legal expertise and the ability to manage multiple tasks in a fast-paced environment.

Key Responsibilities:

• Financing Transactions: Review financing agreements, loan documents, and handle the entire financing process with lenders from start to finish. Proficiency in summarizing and understanding financial terms is critical.
• Operations Transactions: Prepare and negotiate vendor agreements, employment agreements for on-site managers, and other contracts related to the day-to-day management of multiple properties.
• Acquisition Due Diligence: Collaborate with acquisitions managers on legal due diligence related to company acquisitions, partnership agreements, escrow documents, and other relevant matters.
• Projects: Manage a variety of legal projects focused on either growing revenue or saving costs for the company or its affiliates.
• Corporate Structure: Set up various corporate structures and ensure compliance with all necessary government regulations and requirements.

Skills and Qualifications:

• 4+ years of legal experience and/or other relevant legal background.
• Active CA Bar License.
• Motivated, entrepreneurial spirit with a desire to grow their career in a fast-paced company.
• Ability to look at the big picture and make informed decisions.
• Strong multi-tasking skills, ability to prioritize deadlines, and extremely well-organized.
