The Opportunity

ImpactAssets is seeking a motivated and solution-oriented Assistant Counsel to provide legal counsel with a significant focus on, but not limited to, securities law, corporate law, nonprofit law, privacy law, tax law and intellectual property (IP) law. The position will handle general legal work for the firm, including drafting agreements, marketing communications reviews, administration of trademark filings, and general legal research, as well as legal and compliance support of the affiliated SEC-registered investment adviser (which requires, amongst other projects, tracking of regulatory reporting requirements, reflecting updates to regulatory policies and procedures to ensure legal and regulatory compliance, and remaining abreast of relevant securities law developments).

The Assistant Counsel is a full time, remote position and can work from anywhere in the US. As a remote, people-first culture, we care deeply about our team members' connections to one another and as such, travel 2-3 times per year to company events will be required.

The position reports to the General Counsel, Ivy Wafford Duke.

Key Responsibilities

Primary Focus

Contracts

  • Oversee corporate contract reviews (either personally review or outsource to outside counsel) for clients, partners, employees, contractors, consultants and vendors, including to review, draft, revise, and negotiate various types of contracts with assistance from General Counsel and outside counsel, as necessary
  • Manage contract workflow, as assigned, in conjunction with internal contract review process
  • Apply best practice methodologies to develop and implement contract strategies to support the contracting process
  • Conduct legal research on contracts, as necessary, and provide related legal advice in a timely manner
  • Work with cross functional groups to understand and interpret business requirements into legal terms and conditions
  • Ensure consistency of transactional documents to ensure compliance with company policies and goals
  • Work independently and identify areas to continually improve and drive efficiency into the contracting process with internal and external stakeholders
  • Clearly communicate critical issues, present analysis and drive toward solutions on an ongoing basis
  • Help create, manage and update the company's contract templates and provide input to risk profiles
  • Manage contractual timelines and discussions regarding renewals and amendments
  • Lead special contract-related projects

Marketing

  • Responsible for the review of Sales & Marketing materials and communications for compliance, ethics, DEI, investor relations considerations, etc.

Trademarks

  • Administration of trademark/servicemark and copyright registration process

Secondary Responsibilities

Legal Research / Miscellaneous

  • Conduct legal research independently, read and interpret regulatory statutes and guidelines, and translate rules into realistic and practical business applications.
  • In particular, stay abreast of the evolving regulation affecting donor adviser funds (DAFs) and investment advisers/managers and ensure compliance in all ImpactAssets' business and operating decisions.
  • Respond to inquiries from internal departments related to non-profit and/or investment advisory operations
  • Assist the General Counsel with various corporate governance projects
  • Work closely with the General Counsel to prioritize assignments and projects, while managing and maintaining organization of the Legal department workload
  • Enhance the effectiveness of the Legal Team through participation in staff meetings, training, and positive interaction with internal and external clients.
  • Maintain professional growth and development through seminars, workshops and professional associations to keep abreast of the latest developments in applicable laws and other related areas
  • Assists the Legal Team with meeting annual goals
  • Performs other duties as assigned

Qualifications

You are passionate about playing an integral role in evolving the impact investing space and possess the following qualifications:

  • Juris Doctorate from an ABA accredited law school, excellent academic credentials, and member in good standing of a State Bar.
  • Minimum 5+ years of experience, including law firm and non-profit/philanthropy work experience
  • Knowledge for using investing as a means by which to engender social or environmental impact preferred (experience with investments, donor advised funds, financial services a plus)
  • Able to interpret and analyze legal documents
  • Strong drafting skills
  • Excellent research and problem-solving skills
  • Ability to learn quickly and take ownership of projects and tasks
  • Creative thinking and strong problem-solving skills
  • Excellent interpersonal verbal and written communication skills
  • Excellent client service skills; comfortable interacting with all stakeholders
  • Possesses a strong work ethic with effective time management and organizational skills
  • Willingness to collaborate and work effectively both independently and in a team-based approach to subject matter management
  • Highly attuned skills, attention to detail and professional demeanor
  • Strong verbal and communication skills required
  • Ability to work independently and prioritize competing demands
  • Flexibility and willingness to work in a virtual team environment

  • Experience working in a virtual working environment preferred
  • Proficiency with Microsoft 365 applications including Excel, PowerPoint, Word, Teams required
  • Proficiency with cloud-based collaboration tools Box and Asana preferred

  • Base salary ranges from $165,000 - $176,000 and is highly dependent on experience and location. Discretionary annual bonus in addition to base.
