Feels like Troutman Amin LLP has been on a non-stop winning streak since it opened. Isn't it crazy to think the firm has only existed for ONE YEAR and yet it is already one of the most powerful legal brands in the country? Seems inpossible. The firm stands toe to toe with the nation's largest law firms and is renowned- if not legendary- for its work in TCPA and marketing law. And yet it has only been around for one tiny little year. Simply incredible how much has been accomplished so quickly. Board's power to make investment u/s 179 read with Section 186 of the Companies Act, 2013   Sec 179(3) of the Companies Act, 2013 (‘Act’) prescribes certain matters to be exercised by the board in its meeting by means of board resolution which includes investment of the funds of the company. However, the first proviso of the Sec 179(3) says that board can delegate its powers for making investment to managing director, principle officer or committee of director. The very purpose of this proviso is to execute investment decisions in quick way without waiting for board approvals so as to tap the opportunity available in the market. If company goes for board approval, the short term investment opportunity may be lost.   Sec 186(5) of the Act provides that no investment shall be made or loan or guarantee or security given by the company unless the resolution sanctioning it is passed at a meeting of the board with the consent of all the directors present at the meeting and the prior approval of the public financial institution concerned where any term loan is subsisting, is obtained.   Now, if one looks at both the sections, it will look like contradict with each other. Sec 179(3) exempts the passing of board resolution for making investment by delegating the authority to managing director or any committee of directors. However, Sec 186(5) of the Act requires compulsory passing of board resolution with the consent of all the directors for making investment.   Now, what is the ideal solution for giving effect to both the sections as well as making smooth investment decision without any delay?   Board can pass the board resolution for sanctioning investment [within the maximum ceiling of Sec 186(2)]) by prescribing maximum ceiling to each investment opportunity like investment in shares and securities of group companies, Investment in Mutual fund, Investment in FD so on and so forth. Now, the board can delegate any director or committee to make investment within the ceiling of the board resolution to effect investment decisions in prompt manner without waiting for board approval each time. Hence, this will give effect to the provisions of both Sec 179(3) and Sec 186(5) of the Act by delegating specific powers with unanimous consent.

Why the Priori unicorn? 🦄 For our first CLOC Conference in 2018, we were trying to make a splash, so we brought a ping pong table and challenged everyone to beat our then Marketing Coordinator and ping-pong ace Kinsey Crowley. (She was undefeated) For our second CLOC Conference in 2019, we decided to skip the booth and do a meeting blitz. (Very effective, actually) Then, we were planning to skip 2020 (before COVID canceled it for us) because we were heads-down in fundraising mode. 2021 didn't happen because of COVID. 2022, our third CLOC, we wanted to come back with a bang, despite our out-of-the-way booth and small-ish budget (fundraising again), and decided to do a "Build Your Legal Dream Team" theme -- i.e. magical creatures dressed as lawyers playing sports (it made sense, I promise). Even if not many people focused on our, erm, maybe not so straightforward message, people came, in droves, for the unicorn swag, and it has represented us at CGI 2023 and 2024, too. Here's why I love it... in no particular order: 1️⃣ We want to connect every client with their particular unicorn lawyer for their particular need. That's our mission at Priori. 2️⃣ It's a great mascot for the twisting journey Mirra Levitt and I have been on to build Priori for a germ of an idea to a fast-growing tech company. 3️⃣ Last but certainly not least: so many of you send me adorable pics of your kids loving our swag after the conference, and I love that we've created a little more joy in the world. 🦄

Big ideas that get lots of traction tend to be very obvious. Standardizing the NDA is very obvious, and as it turns out very popular. oneNDA is arguably the most popular among the newer NDA standards. But oneNDA is also very flawed. Its biggest flaws relate to its format-- not its substance. You can google the substantive critiques of the oneNDA standard, but even Ken Adams acknowledged that it's perhaps good enough back in 2021: "...the shortcomings in oneNDA’s document are benign, as it’s more sensible than the wretched NDAs plenty of companies find themselves signing." The core problem with oneNDA is that a Word document, while a good format to review the substance of the document, is a horrible format to actually speed up your NDA process. Problem #1 oneNDA is a hard standard (oof!)— meaning the core terms can’t be edited. So if 10% of the time the counterparty won't accept the standard, you don't have a mechanism that enables them to propose changes. So then you have to send them an entirely different NDA to redline. This is operationally awful. Problem #2 And for the variables that can be negotiated with oneNDA (jurisdiction, duration, etc), how is that process managed exactly? Are we asking the counterparty to edit a locked Word document? No thanks. Problem #3 At scale, it's hard for business and legal teams to communicate the benefits of oneNDA to an uninitiated counterparty. So even if the counterparty is inclined to accept an NDA standard, there's added friction in getting them comfortable with this particular standard. How much are we spending handholding the counterparty to get them comfortable with the standard? But despite these flaws... oneNDA continues to grow in adoption. 100+ template downloads every day across the globe. But a Word document doesn't solve your NDA problem. The problem with oneNDA is the format. The good news? We've been working closely with Electra Japonas for the past 12-months trying solve oneNDA's format issue. When we started Al Adl Legal Consultants, nobody in the founding team had ever worked at a big law firm. All the old and established firms seemed to have it all figured out – Ivy League lawyers, tech expertise, multi-disciplinary teams. They seemed untouchable. I remember suggesting to my business development manager, “Maybe I should join one of those firms for 6 months just to learn how they work”. Of course, that never happened. Over time, we grew to 5 offices across 3 countries serving 400+ clients. And we realized that it’s not about mimicking the giants. Just because there are whales in the ocean, doesn't mean sharks can't swim there freely too. The giants were once ‘sharks’ like us. Business is all about ‘vaasta’ – knowing the right people, as we say in Arabic. So, as long as we keep doing good work and finding opportunities, we’ll be golden. Landmark application of two very famous legal Maxims. 1. Qui Facit per Alium Facit per se (He who does an act by other does it by himself) and 2. Qui Prior Est Tempore Potior Est Jure (One who is earlier in time is stronger in Law). Hon’ble Supreme Court (SC) of India held on question of law relating to filing of suit after an unreasonable delay, though within the period of Limitation, and also the authority and position of a Power of Attorney within the Code of Civil Procedure, 1908. (CPC). Facts: Agreement to Sale was executed between the P and R, as Power of Attorney holder (PA1) of coparcenary property with multiple interests. P tendered an earnest amount at the same time. Parties mutually agreed that the remaining amount shall be tendered at the time of registration of Sale Deed (SD1) in 6 months. By an Agreement between the parties, execution of SD1 was subsequently extended. PA1 in the interim executed a sale deed (SD2) in favour of R2. R2 with whom SD2 was executed argued that they are the bona fide purchasers of the Property and that they are oblivious of any previous agreement and redressal is barred by Limitation. The Trial Court adjudicated in favor of P. On Appeal was made in the High Court of Madhya Pradesh, it reversed the judgement of the Trial Court, in favour of R on the grounds. 1. Sale Agreement does not mention the POA 2. Was not executed by all coparceners. 3. P did not appear in the Witness box to prove his willingness to perform the contract. The SC was then approached. On the precedent laid down in Janki Vashdeo Bhojwani & Anr. vs. Indusind Bank Ltd. & Ors. (2005), the SC held that as per Order 3 Rules 1 & 2 of the CPC, the POA can act on behalf of the principal only for the acts done by the POA in exercise of power granted by the instrument. The term act does not mean deposing in place and on behalf of the principal for the acts done by the principal. Held: By virtue of S. 12 of the Specific Relief Act, 1963 it is P who has to prove that he is willing to perform his part of the contract and not PA2 as the contract was executed by the principal himself and not the PA2. PA2 does not have the personal knowledge, neither of the transaction nor the readiness or willingness of the performance. This element can be satisfied only by the principal. Thus, the failure of the principal to enter into the witness box and subject himself to cross-examination, does not satisfy the requisites of S.12. On the question of the time for filing the suit, the court relying on the judgement laid down in Atma Ram vs. Charanjit Singh (2020) and other similar precedents held that since the Plaintiff filed the suit at the last stage of the Limitation period, even after being aware of the execution of SD2, the long delay in filing the suit signifies his unwillingness for Specific Performance. Thus, the Specific performance was refused. In a recent interaction in an event, an attendee was lecturing me that lawyers should quote lower fee for start-ups, as they may not have the financial resources to afford legal services at this stage and that I would get lot of clients if I could significantly reduce the fee. She mentioned that there are online companies offering similar services for much lower prices. Despite our already reduced fee quote for start-ups, she seemed insistent on the idea of cutting costs further. 🧐 It is understandable that start-ups face financial challenges in their initial phases. However, it is also important to recognize that companies typically allocate budgets for Resources, marketing and expansion purposes. They often seek out the best agencies that can deliver optimal results, even if it comes at a higher cost. Drawing parallels to other professional services, such as legal or tax professionals , it is evident that quality and expertise come at a price. While individuals are free to choose service providers based on their budget constraints, there are inherent risks associated with cost-cutting measures. Businesses with a long-term vision and strategic outlook understand the value of working with experienced professionals. It is crucial to prioritize experience and expertise over short-term savings, as the consequences of inadequate services can be detrimental in the long run. All it requires is understanding the significance of legal experts right from the start and accordingly setting aside a budget. I had politely walked out of the conversation saying that “not all start ups are reluctant about spending on legal services. There are founders and businessmen who give utmost importance to compliance with laws, protecting their IP and signing the right deals. I would love to work with such clients who value the expertise we bring to the table! “ I believe that working with clients or professionals who prioritize quality is essential for the success and sustainability of any business or practice, including mine. 😊 How do you handle such situations on justifying your fee or product cost???
