- Thoma exits Venafi at $1.5b at ~10x ARR - They bought the biz at $1.15b ~4 years ago at 11.5x ARR - Only a 1.3x in ~4 years (and could be less depending on CyberArk's stock) - 50% of the deal is in CyberArk stock, trading at $10b, at 12x multiple at close to all-time highs, and up 60% in the last year - The deal will allow Venafi to expand CyberArk's TAM by nearly $10 billion - Despite this, the stock has been flat since the announcement - CyberArk is growing 37% YoY //Objectively a weak exit for Thoma despite Venafi's solid performance and scale //Or is this a strong exit considering the headwinds to go public, an inability to trade up to bigger PE, credit markets still in the sh*tter, and a need for PE to provide liquidity and positive returns to LPs? //Is this a top performer in their portfolio or run-of-the-mill? //Thoma can book the return, funnel $ back to LPs, LPs re-up in the next fund, and Thoma has more $$ to deploy at depressed prices //Very interesting to see pricing of other exits like this in the near term https://lnkd.in/gBqkvP48

New PitchBook Analyst Note: "Taking the Private Out of Private Equity" was released today from the PitchBook Data Quantitative Research Team! In this note, PitchBook's Analyst Team walks through the creation of the PitchBook Buyout Replication Portfolio, which uses take-private data and a neural network to replicate buyout investing with listed equities, sector adjustments, and additional leverage. Key takeaways: -Trained on quarterly financial statement data and daily stock prices, our take-private prediction model captures the fundamental characteristics of companies that fit into the buyout model. In the note, we provide a list of the top 15 take-private targets currently trading on the NYSE and Nasdaq exchanges. -Going back to 2014, top take-private targets are used to create the PitchBook Buyout Replication Portfolio. We show that many of the return drivers PE buyout managers rely on, including sector selection, leverage, and systematic security selection, can all be replicated in a portfolio of public equities. -Since 2014, the Buyout Replication Portfolio would have outperformed the Russell 2000 Index by 11.5% on an annualized basis. Sector selection, leverage, and security selection contributed 1.5%, 2.8%, and 7.2%, respectively, to this outperformance. -An analysis using public market equivalents (PMEs) revealed that large buyout funds launched in 2014 through 2017 did not outperform public markets when accounting for sector selection, leverage and security selection, contradicting conclusions of material outperformance when using common public benchmarks like the S&P 500.

What do bio and health applications mean for the next wave of AI -- specifically about compute? (I'm talking to you NVDA longs!) Here, my own speculations after wrapping up the report: -- Amazon needs to have a GPU program on warp drive right now -- Nvidia needs to have a data center / cloud business in the works -- Edge AI chips are about to be everywhere -- in your watch, car, sneakers, thermostats, gene sequencers, spectroscopes -- All this compute needs way more data: expect a boom in sensors of all types -- Remember human genome moonshot that sequenced one person once? Now you can sequence your every cell one by one. Expect that for protein folding (AlphaFold was that moonshot) and other simulation uses, a full "twin" model of you, cell by cell -- Google has no angle here -- worse chips, worse cloud, worse models, worse phones / edge devices -- Specialty silicon for unique use-cases, lower-power, lower-memory are surely coming fast - like back in the day for mobile phones when Qualcomm, Broadcomm, Infineon, Mediatek, etc duked it out.

Small investors like family offices and high-net-worth individuals are finding creative ways to get exposure to coveted AI startups, like Anthropic, Groq, OpenAI, and Elon Musk's xAI, by investing through special purpose vehicles (SPVs). SPVs allow investors to pool capital from multiple backers and buy shares being sold by existing VC backers. SPVs often come with high fees and limited transparency, with sponsors typically charging up to 2% upfront fees and 20% carried interest on profits for recent AI startup deals. There are even cases of SPVs being formed on top of other SPVs, with additional fees layered on. The FTX bankruptcy triggered a flood of Anthropic shares that brokers scooped up and resold via SPVs. With buzzy startups like xAI keeping funding rounds open for weeks, more SPV investors piled in as valuations climbed from initial targets. Per a Business Insider report, small investors participating in xAI’s recent $6B funding round had to contend with a 5% upfront fee in addition to management fees and carried interest. xAI initially planned to raise $3B on a pre-money valuation of $15B, but increased the round size to $6B at a pre-money valuation of $18B to account for the higher demand from investors.
