Here is an article written by my colleague Marzia Schilleci and me discussing inherited personal jurisdiction over buyers in asset deals, also known as successor jurisdiction. In a recent ruling captioned Lelchook v. Société Générale de Banque au Liban SAL, the New York Court of Appeals held that an acquiror of all assets and liabilities of a target inherits the seller's jurisdictional contacts to New York, even in the absence of a merger or other universal succession. This means that the buyer can be sued in New York over the seller's prior acts, even if the buyer itself has no relevant contacts to New York. The court's decision aligns with similar rulings in various states across the US. Our article discusses the reasoning behind the court's decision, its relationship to the related concept of successor liability, and what potential buyers should keep in mind when evaluating and structuring asset deals involving targets with liability risks that are or may become the object of a lawsuit in New York. #PersonalJurisdiction #SuccessorJurisdiction #SuccessorLiability #AssetDeals #NewYorkLaw #LongArmStatute #CPLR302

With the uncertainty surrounding the election, which always impacts financial markets, and questions about how many rate cuts will be implemented this year (despite last month’s suggestion by Federal Reserve Chair Powell of only one rate cut), companies are strategically timing their debt restructuring efforts to maximize value or minimize costs. As Maura Webber Sadovi of CFO Dive suggested, we are seeing an increase in reorganizations in #bankruptcy, but also liability management transactions, where companies restructure their debt to stave off bankruptcy or inject much-needed #liquidity. Given these dynamics, it is crucial for companies to assess their debt capacity now and contemplate renegotiating existing debt to optimize value and reduce costs. #Finance #DebtManagement #LiabilityManagement

  The EU FSR continues to provide for weekly summertime coverage, demonstrating how the (still relatively new) foreign subsidies control tool is already well-advanced in re-shaping dealmaking across the EU. The latest headlines:   1. A lower U.S. PE offer beats a major China-origin premium. For that, turn to the Purmo Group takeover (that Finnish heating/cooling maker up for sale, with bids from U.S. Apollo Global Management, Inc. vying against a big premium offering from Chinese Haier), in which one sees the Purmo board pitch for Apollo even though the Haier investment is by a direct industry player rather than a PE fund, and comes with a 23% premium. The reason: ”uncertainties” stemming from the FSR, and how it impacts on timing and outcome.   2. Upfront spending self-restrictions to avoid FSR thwarting a deal. For that, turn to the telecom investment by Emirates operator Etisalat’s (e& UAE) acquiring large parts of rival PPF Telecom Group BV, where the EU commenced its first in-depth review of the transaction, based on concerns re the unlimited guarantee e& received from the UAE and a loan from UAE-controlled banks directly facilitating the transaction. E& has made a 10 year pledge (with all bells, whistles, and trustee oversight attached) that it will not fund the European telecom businesses that it wants to buy from PPF.   Ditching a pile of money (a fifth of the offering).
