CFIUS released its annual report today. Over the coming days, we’ll be digging in deeper and providing additional insights to our clients and network, but two immediate items stand out to the StoneTurn team as we began our analysis: 21% of transactions were conditioned with mitigation. Why is this significant? Mitigation terms can have significant impact on business operations. For example, the use of data and technology can be limited, or communications may be monitored or restricted between the U.S. business and their foreign investor. These kinds of limitations may ultimately impact the overall value of the transaction, which highlights the importance of baking a national security strategy into your deal strategy. There has been a significant spotlight in the last handful of years on Asian investment in the U.S., particularly investors from China. Notably, as it relates to Asia, Japan and South Korea were among the leaders of approved transactions in total and in transactions involving critical technologies. This is positive news for investors with ties to the region. We’ll continue to share updates on our takeaways, and welcome discussions on what the report means for organizations or investors who are driving activity globally. In just under 17 months, FTX and its executives went through the full cycle of financial investigation: bankruptcy and fraud-based collapse, government investigation, conviction, and asset recovery. This counters two myths about digital currencies and innovation, writes Kyla Curley for Law360: 1) that transactions involving crypto- or digital assets are nearly impossible to trace and capture, and 2) that the federal government can't keep up with innovation in the private sector to stamp out fraud and corruption. Fraud can affect any industry, and #crypto-assets are but the latest vehicle used to exploit loopholes and uncertainty, Kyla Curley notes. As long-awaited #regulation continues to be pushed to the back burner, government entities prove time and again that they can work within the confines of current laws and regulations to hold parties accountable for nefarious activity. Increased investigative resources, including #blockchain tracing and analytics software; greater consumer sophistication; and growing cooperation will help root out bad actors in an industry that's overdue for a new reputation.
