Thanks for sharing the article and post of the distinguished authors on the judgment dated 5.1.2024 of the Bombay High Court on the important issue of arbitrability of fraud-related disputes.  As rightly said, arbitrability of a dispute is a key factor in jurisdictional reach to the arbitrator.  The judgment is also important for resolution of disputes out of Employment Agreement through arbitration. Hence, factual background - The petitioner with his brother formed Krushiking Agrotech Company which was purchased by the Share Purchase Agreement on 23.8.2019 and the name was changed to Agrowon Agrotech. The ownership rights, trademark, copyrights as well as other intellectual property rights were also assigned. The petitioner was appointed as the Chief Executive Officer as per the letter of appointment dated 23.8.2019.  Clause 19 provided for dispute resolution through arbitration. On 22.10.2021, the petitioner was not allowed to attend the office on the pretext of irregularities, he was deprived of his mobile phone and his savings account password was changed. The petitioner filed the complaint.  He was forced to tender resignation since audit was in progress and same was withdrawn on 15.2.2022 after audit was completed. On 16.2.2022, the respondent posted the termination letter dated 27.12.2021 attributing the audit report of misappropriation of funds, wrongful use of company brand and breach of trust / contract. After exchange of notice and reply between the parties, the petitioner invoked arbitration on 10.5.2022 and filed petition for arbitrator appointment. The appointment of arbitration was opposed on the ground that the dispute is not arbitrable since offence is registered against the petitioner under Sections 409, 420 and 477 of IPC. In that context, the contention of the respondent that it will have to disclose the stand on the criminal charges was negatived on the ground that it is not sufficient to decline arbitration which is limited to employment agreement and the justiciability of termination of the Employment Agreement. It is not the case that the arbitration agreement itself is vitiated on account of fraud. #bombayhighcourt #arbitration #arbitrability #dispute #fraud #employment #agreement #legaldeli

I simply can’t give my younger self only one piece of advice as I wouldn’t be doing myself any justice. So here are some pieces of advice:   - Believe in yourself, embrace your own individuality, enthusiasm, quirks and ambition – this makes your path unique to you and no one else.   - Never compromise on your values as this defines who you are and guides your actions.   - There is no substitute for hard work and experience. Together they form the foundation for success.   - Treat people with respect and courtesy. You never know who may be observing your behaviour or who you might encounter in the future.   - Listen actively to others perspectives and communicate effectively.   - You are never going to know all the answers but there is strength in asking, in collaborating, in watching and in learning. Remain curious! - Trust your instinct and pair this with analytical thinking and evidence.   - Step out of your comfort zone, challenge yourself, take risks and embrace opportunities. - Setbacks and failures are unfortunately inevitably part of life and our profession – but it shapes who you become and how you treat others.   - The world is full of connections, and you never know who you are going to meet and what you are going to learn. Keep your mind open and seek those connections. You will be surprised about how many of those become colleagues, clients, friends and mentors.   - I truly believe “people come into your life for a reason, a season or a lifetime” but what is important is to forge the relationships and learn from each of them.   - It is essential in our profession to find mentors – individuals you trust, who believe in you and challenge you so that they bring out the best in you.   - Celebrate achievements – big or small. Life is just too short not to!   Ultimately, the best advice I would give my younger self and maintain today is to work hard, never compromise family over work, be grateful and most importantly - to laugh and have fun every step of the way. Our profession is tough but it is filled with incredible experiences and opportunities. The story you write is your own and the path you pave is uniquely yours – it is for you to take it wherever you want to!” We cannot thank Sherina enough for sharing her thoughts with us and our network! 🙏

Views of our Managing Partner, RAHUL GARG with the senior Journalist Ms. Indu Bhan published in Economic Times today on the important decision by the Hon'ble Supreme Court of India rejecting the review filed by the Revenue on the 2021 decision on the taxability of Software related payments.   The decision has put to rest a major controversy which would have industry wide implications as the principles laid down in the original decision of Engineering Analysis of 2021 to which GE India was a part of not only impacts the four categories examined in that decision but multiple other online business models.
