🇪🇺 One year with the Foreign Subsidies Regulation 🇪🇺 📄 On 12 July 2023, the Foreign Subsidies Regulation (“FSR”) came into effect, meaning it has just celebrated its one-year anniversary. During the first year, the European Commission ("EC") has used this new regulatory tool to review and address distortions in the market caused by the granting of substantial foreign subsidies by third countries to companies active within the EU. Among the key takeaways from the first year of FSR are: 🔹 M&A transactions: Companies must notify M&A transactions if the target has an EU-wide turnover of at least EUR 500 million and has received at least EUR 50 million from non-EU countries in the past three years. During the first year, over 50 M&A transactions were pre-notified to the EC, with 25 formal investigations launched, including one in-depth investigation into an acquisition by a UAE state-owned company. This investigation will be concluded no later than 15 October 2024. 🔹Public tenders: The FSR aims to ensure fair competition in public procurement, and the notification obligations apply to significant public procurement procedures. The EC has initiated three in-depth investigations, all three focusing on the impact of foreign subsidies in large-scale projects, including renewable energy and infrastructure. All three bids were withdrawn shortly after the EC initiated its in-depth investigations. 🔹Dawn raids: The EC conducted its first unannounced inspection in April 2024 at the offices of NUCTECH COMPANY LIMITED, a Chinese state-owned company, as part of an ex officio investigation. The investigation is still ongoing. The EC’s efforts show that it is already making use of the full range of tools available under the FSR. The enforcement trends show a focus on Chinese and Arab state-owned companies, with scrutiny on sectors like energy, transportation, telecommunication, and security equipment, which aligns with the EU’s commercial and political measures. ⚖ Looking ahead, we predict the FSR will become a priority for the EC in the coming years, given the current geopolitical climate. 🎰 New coordinated efforts against illegal marketing activities by gambling providers on the Danish market 🎰 The Danish Consumer Ombudsman has just announced that they will be entering into a new agreement with the Danish Gambling Authority (Spillemyndigheden) and the Gambling Advertising Board, according to which coordinated efforts against illegal marketing activities by gambling providers on the Danish market will be initiated 🎲 The overall purpose of the agreement is to create a clear division of responsibilities between the relevant authorities and thereby streamline the enforcement of the rules on the marketing of gambling activities According to the regulation, the Consumer Ombudsman is responsible for overseeing gaming companies' compliance with the Marketing Practices Act, as well as other consumer protection rules. The Danish Gambling Authority (Spillemyndigheden) supervises compliance with the specific rules on the marketing of games in section 36, subsection 1, of the Gambling Act, as well as the rules on sales promotion measures in the additional gambling regulations 📄 The Gambling Advertising Board, established by stakeholders in the gaming industry, is responsible for compliance with the Gambling Industry’s code of conduct, which was introduced in 2019. The code of conduct was adopted by the gambling operators to increase the responsibility of the gambling providers’ marketing of games by establishing frameworks and tools that go beyond the requirements that were already imposed by legislators and authorities ⚖️ The agreement between the authorities sets out a clear distribution of roles between the relevant authorities, making the Gambling Advertising Board responsible for all complaints related to violations of the Code of Conduct. On the other hand, the Gambling Advertising Board will forward all complaints related to the regulation, as well as violations of the instructions from the Gambling Advertising Board to a gambling provider, to the Consumer Ombudsman or the Danish Gambling Authority 📩 The agreement was announced just days after the Danish Maritime and Commercial Court in Copenhagen found a gambling company guilty of violating the image rights of 23 Danish sports stars by using their names and faces in social media posts. ⚖️ The amended Danish Competition Act comes into force today ⚖️ From an M&A perspective, the most notable change is that Konkurrence- og Forbrugerstyrelsen (the Danish Competition and Consumer Authority, hereinafter referred to as “the Authority”) is now empowered to call in potentially harmful mergers regardless of whether the thresholds are met. Until today, the Authority had no jurisdiction if the turnover thresholds were not met by the parties. 📊 For the Authority to call in a merger below the turnover thresholds, the parties to the merger must have a combined annual turnover in Denmark of at least DKK 50 million, and the Authority must foresee a risk that the concentration significantly impedes effective competition, particularly due to the creation or strengthening of a dominant position. ⏳ As a rule, the Authority must call in the merger no later than three months after a merger agreement has been concluded, a takeover bid has been announced, or a controlling interest has been acquired. The three months are calculated from the earliest of those dates. 🔍 Further, the Authority is now authorized to conduct so-called market investigations into behaviours or structures in one or more business sectors. If such market investigations reveal conditions that significantly weaken competition to the detriment of consumers or other businesses, the parties may be ordered to change their behaviour. 🇪🇺 Finally, the amendment introduces new principles for calculating fines. The purpose is to ensure that fines reflect the economic impact of a given violation, aligning more closely with the principles for calculating fines used by the European Commission and several other EU countries.
