We are delighted to announce that Copperleaf Technologies Inc., a holding in Pender Technology Inflection Fund I, has entered into a definitive arrangement to be #acquired by Industrial and Financial Systems. IFS AB has agreed to indirectly acquire all of the issued and outstanding common shares of Copperleaf for $12.00 per share, a premium of approximately 18% to the closing price on the TSX on June 10, 2024. Subject to the conditions of the agreement, the transaction is anticipated to be completed in Q3 of 2024. Our relationship with Copperleaf dates back to 2010 when our managing partner, Maria Pacella, in her role as investment manager at Working Opportunity Fund, led an early financing round for Copperleaf and sat on the board of directors during that time. Maria’s longstanding relationship with Copperleaf and Judi Hess created the foundation for PTIF’s investment in the company in 2019, before the company’s IPO in 2021. Due to macroeconomic circumstances, the post IPO ride for Copperleaf has been complicated. This financing event validates Copperleaf’s significant value creation over the past 14 years and the promise of a bright future in the massively impactful area of sustainability planning. It is a privilege to work with great entrepreneurs to achieve meaningful financial and social impact.
