  • Proposed Metropolitan/Momentum merger

    Team appointed to perform a limited scope financial due diligence review on the proposed merger entity. Primary objective to provide comfort on the merger exchange ratio (used as the vehicle to facilitate the transaction) and provision of commercial arguments to decrease the target’s embedded value where applicable.

    Team appointed to perform a limited scope financial due diligence review on the proposed merger entity. Primary objective to provide comfort on the merger exchange ratio (used as the vehicle to facilitate the transaction) and provision of commercial arguments to decrease the target’s embedded value where applicable.
    My specific responsibilities: review and management of the Group’s medical scheme administrator business and the final product (i.e. report) and attendance of advisory meetings with the client, where all major commercial issues were presented and debated. Worked closely with a Healthcare specialist audit Director to capitalise on industry and market expertise.
    Assisted the client’s Actuaries in the quantification of identified commercial issues for them to revise the valuation of this specific medical scheme administrator business.
    Main merger rationale was realisation of value for all shareholders by unlocking benefits derived from enhanced growth opportunities, revenue synergies and economies of scale.

  • The Cape Town Integrated Rapid Transport ("IRT") project

    Business and infrastructural review of the Cape Town IRT project to form a comprehensive overall assessment of IRT Project which included: a thorough gap and risk analysis and concluding recommendations in order for the City of Cape Town to implement any mitigation plans to lower the risks borne by them; identification of areas where specific focus is required in the future to guide and assist the City of Cape Town in making well informed business decisions; collation of sufficient information…

    Business and infrastructural review of the Cape Town IRT project to form a comprehensive overall assessment of IRT Project which included: a thorough gap and risk analysis and concluding recommendations in order for the City of Cape Town to implement any mitigation plans to lower the risks borne by them; identification of areas where specific focus is required in the future to guide and assist the City of Cape Town in making well informed business decisions; collation of sufficient information about the business case and related roll-out scenarios; a review of business opportunities resulting from the IRT and the related business aspects.

    All field work and report writing was performed by myself and a team Associate Director. Direct access to the City's senior management team and consultants with majority of our findings identified by way of meetings, workshop, discussions and the review of all business plans and tender documentation.

    Further compilation of a summary report highlighting the main project management issues experienced on this project in order to assist a regional PwC Partner with a similar proposal.
