🎓 Sharing a milestone🎓   This month marks the culmination of an incredible journey: graduating with a Master of Laws from Bond University. This has been a supremely challenging yet rewarding experience, reinforcing my belief in the importance of continuous learning, especially for those entrusted with the stewardship of organisations.   This program has re-emphasised the crucial role of contemporary legal acumen in effective enterprise governance - a major design feature of the masters program focussing on contemporary governance requirements - along with company director's awareness of the many emerging non-financial risks and compliance obligations, including corporate social responsibility, ethics, commercial entities law, reputational risk and social responsibility, IT law, cyber and privacy.    As a Non-Executive Director with the likes of AMP Limited, AMP Bank Limited, SERV, Alfred Health and a member of the Fujitsu advisory board, I've always been cognisant of the evolving responsibilities of the role. The landscape is dynamic, and effective directors must be equipped to tackle complex and unprecedented issues, prioritise ethical decision-making, and champion stakeholder equity.   Beyond mere compliance, a board director’s responsibility is to foster ethical conduct, anticipate risks, and ensure the organisation operates within the bounds of ever-evolving regulations.   Today's directors must be relentless in their pursuit of knowledge. The journey back to university was not just about acquiring new skills; it was a commitment to self-leadership, a dedication to ongoing learning, and a commitment to business integrity.   Stewardship requires more than just overseeing strategy and operations; it involves a deep commitment to understanding the intricacies of the business environment. My time at Bond University has sharpened my ability to question assumptions, prioritise ethical considerations, and engage in meaningful debates. These are essential skills for any director navigating the complexities of today's business landscape.   I encourage my fellow directors to embrace the spirit of continuous learning. The most effective boards are filled with individuals who are not only knowledgeable but are also eager learners. Truth is someone must lead a good or bad governance. Until we stop praising selfish people who only promote thier own interests and careless about others. Sound education doesn’t mean you are qualified… if you are not gifted or sense proven. You have only gone to school to learn but refused to unlearn what is possible to destroy you. An educated idiot on a high profile with a mistaken identity. It’s important to know where you belong than getting into a position and where you have to destroy the formation to progress for everyone. Being in the wrong position is simple to understand you missed your own future as well because no one is proud of you except your ego and the people you can control thier future to be a miss as yours. The first case study of a good governance is to ensure a good record of accountability, sustainability and humanity as a structured lifestyle of that individual. If you are not impactful, you are just a complete gush. You cannot give, don’t hold the system that can, to be controlled by 0 proven analysis. Compliance is cool. Well, I'm biased, so you probably have your own view on this (and I would encourage you to develop your own view if you don't already have one). However, #compliance is not something any of us (especially #lawyers and those of us in #highereducation) can get away from. In 2022, I became project director for Project Compliance - one of the portfolio of enabling projects under our Loughborough University strategy to 2030: Creating Better Futures. Together. Our first round of assurance audits under Project Compliance were run in September 2022, focussing on Trusted Research (including export controls). These audits revealed some weaknesses in our institutional understanding and engagement with this landscape. I wrote out to a number of project leads with steps they needed to take urgently to make sure they had considered what they needed to. Wind forward to autumn 2023, when we launched our Safer Partnerships and Trusted Research campaign (more on that here: https://lnkd.in/evkf3-3y ). We also conducted some more post hoc assurance audits focussing on Trusted Research. And what a difference a year has made. When you undertake post hoc assurance (checks, file audits, etc) you often hold your breath and wait to discover a clanger, dreading how you are going to tactfully raise the issue with someone who is already really busy and is genuinely trying to do the right thing. Generally, it's not deliberate or wilful, they just don't know what they don't know. Yesterday I wrote out to the academic leads on the projects we looked at in autumn and I was delighted to send several emails out with the line "there are no recommended remedial actions for your project". This is the lawyer's equivalent of a gold star! Where there were some remedial actions, they were generally minor and offered insights and learning for the PI and for me as the lead on this stuff. Unethical behavior at workplace The recent scandal involving KPMG bursar Fidelis Moema serves as a stark reminder of the ever-present risk of unethical conduct within the professional sphere. Instances like these not only betray the trust placed in individuals by companies, businesses, and governments but also highlight the vulnerability of resources to exploitation. Fraudulent activities, such as those allegedly perpetrated by Moema, underscore the importance of robust oversight and accountability mechanisms within organizations. Consequences of unethical behavior Professionals entrusted with significant resources wield immense power, making it imperative for them to uphold the highest standards of ethics and integrity. When this trust is violated, the repercussions can be severe, not only impacting the immediate stakeholders but also eroding public confidence in institutions and the broader professional community. Only through unwavering integrity and accountability can trust be restored and the risk of future fraud mitigated. Entrenching ethical behavior in class In our recent WBS MBA accounting class, we analysed the collapse of Olympus, a case riddled with issues ranging from blatant financial statement manipulation to governance failures and cultural nuances like the 'yes sir' Japanese culture. The lack of protection for whistleblowers further compounded the situation, drawing striking parallels with other corporate scandals like Steinhoff. What truly intrigued us was not just dissecting the problems but exploring solutions. We discussed the critical need to embed ethical behavior into our educational system, advocating for its integration starting from primary school. By immersing students in ethical principles throughout their educational journey, we believe we can foster a culture of integrity and accountability from an early age. Many other brilliant ideas were discussed. I am pleased about the recent publication of our study, "Managers’ Dispositions Toward Formal Contracts: A Cross-Country Examination," in the prestigious Journal of Business Research. Embarking on this journey, 13 dedicated colleagues collaborated across 16 diverse countries, analysing 3.652 questionnaires. Together, we investigated how the quality of formal institutions (encompassing property rights, intellectual property protection, and judicial independence) shapes managers' attitudes towards formal contracts (like the significance of having contracts signed by both parties).   Over a span of 15 years, I have been involved in this project. It stands as the most comprehensive and instructive research project I have ever been a part of. It became like a “negotiation research family”. Working alongside such brilliant colleagues from around the world has been an immense pleasure, and I extend my heartfelt gratitude to all involved.   For those of you, who are interested in some key findings 🔑: 🔶  Managers from countries with higher levels of institutional quality tend to endorse formal contracts more than managers from countries with low institutional quality levels. 🔶  More ethically idealistic managers (having an attitude like the dignity of another individual should not be harmed) tend to endorse formal contractual arrangements more. 🔶  Those managers who display higher levels of interpersonal trust (having an attitude like honesty in describing a product that I want to sell) tend to endorse the signing and enforcement of formal contracts less.   And some managerial implications 🔨 : 🔹  By providing a better understanding of the factors influencing formal contract endorsement, the result of this study helps managers to better understand the mechanisms influencing this process and how to improve it. 🔹  Where formal institutions are strong, managers-negotiators may sign formal contracts, and where formal institutions are weak, they may need to invest extensive effort in developing relationships, not so much as formal contracts substitutes but rather as formal contract enforcers. 🔹  Managers from developing and emerging market companies face difficulties when operating in developed countries. Being unaware of the differences between the quality of legal institutions in developing and developed countries may impair the ability of managers from both types of countries to conduct business between them, to seal deals and to ensure their executions. 🔹  Neglecting counterparts’ personal dispositions, such as ethical idealism and interpersonal trust, may decrease the chances of closing deals with those individuals.   😀 Interested in more details?
