Here are the 5 key points I talked about during the session on the topic of “Evolving relationship between the Chair and the CEO” (1) Setting the Right Tone: - Establish clear communication norms and cadence (e.g. regular 1-on-1 meetings, board meetings, etc.) - Cultivate mutual trust, respect and transparency from the start - Align on shared vision, values and strategic priorities for the organization (2) Balancing Challenge and Support: - Provide constructive challenge and push the CEO to think critically, while also offering guidance and backing - Recognize when the CEO needs more directive leadership versus space for autonomous decision-making - Ensure the CEO feels heard and supported, even when providing difficult feedback (3) CEO Succession Planning: - Collaborate on a robust CEO succession plan and review it regularly - Identify potential internal and external CEO candidates well in advance - Discuss CEO development needs and enable coaching/mentorship opportunities (4) Setting Boundaries: - Clearly delineate the distinct roles, responsibilities and authorities of the Chair and CEO - Agree on decision rights and approval thresholds for key strategic and operational matters - Avoid overstepping into the CEO's domain or undermining their leadership (5) Overcoming Tensions and Handling Disputes: - Proactively address any tensions or disagreements in a timely, diplomatic manner - Focus on identifying root causes and finding mutually acceptable solutions - Maintain unified front and model collaborative problem-solving for the organization Criticaleye Criticaleye Asia Justin Kennedy-Payne Barbara Moorhouse
