New data and analysis on the surging M&A market for biotech companies shows that about half acquired companies so far this year are private - a change from past trends where most biotechs would IPO between private financing and acquisition. This article from Gwendolyn Wu is an interesting read on the dynamics and drivers of when and why companies are bought/sold. A key piece I think was left out though, is that at the end of the day leadership on both sides of the table are really focused on financing the delivery of new effective medicines to patients. These are capital intensive projects, but with huge human impact and correspondingly huge commercial revenue potential when they work. In a perfect world the capital markets would predictably and efficiently flow from seed to A to IPO to M&A to revenue, but the reality is that all of these markets are cyclical and subject to macro stressors. Fortunately, the path is full of key inflection points that present opportunities to hand off the baton or attract new partners to continue the journey. One way or another, we owe it to patients and investors to make sure capital allocation isn't the reason for prolonged suffering and that assets are in the most capable hands for the duration of the journey from idea to medicine.

Top drugmakers could soon forfeit billions in revenue as medications lose patent protection. Meanwhile, valuations of smaller biotech companies have retreated from pandemic-era highs, leading to more acquisitions. "Large pharma still has a lot of cash, and they have a lot of drugs that are going to go generic over the next five to 10 years,” said Mike Perrone, a biotech specialist with financial-services firm Robert W. Baird. The challenging macro-environment & uncertainty that persists will push dealmakers into more creative options to deliver growth. Licensing & collaboration agreements, JVs, structured transactions, R&D funding structures, ecosystem building as well as spinoffs and divestitures will all be considered by dealmakers as they blaze new trails to deliver growth in 2024. The US looks set to remain the center for global innovation in #pharma with foreign buyers continuing to lean in actively to take advantage of opportunities. And with the implications of the Inflation Reduction Act now better understood, companies will direct innovation dollars increasingly towards biologics at the expense of small molecules.
