Two important corporate events have been announced yesterday: (1) Amazon will join the Dow Jones Industrial Average, replacing Walgreens. Rather than having a money flow impact, it may be more of a reputational impact, since very few ETFs and passive funds are tied to the the Dow. One important detail is that Amazon is classified as a consumer discretionary company, not as a technology company, so the index does not become tech heavy. (2) Capital One and Discover have announced its desire to merge, which if it ends up happening may have implications on the payments sector, and indirectly on the consumer. The key in that merger might be who lives in the White House starting January 2025. A democrat may not be willing to sacrifice competition, while a republican president might be more favorable to the merger. Disclaimer: I love me some Chipotle. This is a neat little primer on stock splits. As the article explains - on the math and economics - it is a net neutral transaction (perhaps aside from transaction fees). The value of 1 share at $100 = 10 shares at $10. The reasoning is often to make the now lower priced share affordable for more investors. But, it got me thinking about how optics can sometimes matter more than the math. Many times when dealing with my startup clients and early stage cap table management we encounter statements like: “I want to own a million shares.” “I got an option to buy 50 shares. But my friend at [Other Company] got 50,000 options.” We need to go back to 4th grade math to highlight the potential issue: the denominator. In the above case, the denominator is the number of shares outstanding on a fully-diluted basis. All other things being equal, most people would take the option to buy 50 shares if there are 100 shares outstanding (an option to acquire one third of the company post exercise) vs. the option to buy 50,000 shares if there are 950,000 shares outstanding (an option to acquire 5% of the company post exercise). So, rather than simply reacting to numbers in a vacuum and without proper context, let’s figure out what we are really looking at. Ask and understand.

Investing is not gambling. While extremely volatile in the short term, #investing in weighted indexes such as the S&P 500 allows investors to capture long term trends in the american #stock market without necessarily having the #stockpicking skills needed to choose the winners. Buying some #Amazon stock in November of 2005 would be hard, as many did not know or even care for the company then, or perhaps saw it as too great of a risk at the moment. But those who had SPX at the time had - without maybe even knowing it at the time - participated in one of the greatest stock rallies in US history. That's because the S&P 500 is a weighted index that includes ~500 of the indexes' largest companies. Because of this, those that invested in SPX "bought" Amazon and many other big winners of the digital era the moment they entered the index, when they were significantly smaller. The nature of the index allowed investors to enter in these amazing growth stories earlier than most, leaving many of the world's best asset managers behind by capturing the growth momentum of many of today's leading US companies.

Amazon is ending the week on a high note as its stock rallies to the number one spot in the stock markets worldwide. The organization's better-than-expected earnings report for the third quarter showed a 12% revenue growth from its cloud business, Amazon Web Services, which amounted to $23.1 billion. On the other hand, Amazon's advertising revenue surged by 26% and accrued $12.06 billion. 💸 The people I work with who have built the most wealth generally have this one thing in common: they have company equity. SEATTLE — Jeff Bezos filed a statement with federal regulators indicating his sale of nearly 12 million shares of Amazon stock worth more than $2 billion. The Amazon executive chairman notified the U.S. Securities and Exchange Commission of the sale of 11,997,698 shares of common stock on Feb. 7 and Feb. 8.
