Fear that public companies will re-incorporate en masse out of Delaware seems to be what is driving the state bar’s push to rush through amendments to the Delaware General Corporation Law in response to a recent state court decision. That fear is likely overblown, and the proposed changes could harm shareholder rights. Our letter explains why we believe there is no need for a legislative rush to judgment on the basis of a single court ruling. That opinion invalidated provisions in a Moelis & Company shareholder agreement requiring directors to urge shareholders to vote for the founder’s board nominees and get his approval for the board to take numerous specific actions, including issue stock and declare dividends.
