Another blockbuster cross-border public M&A deal supported by our European offices: Skadden is advising L’OCCITANE Group and Reinold Geiger, the majority shareholder of L’Occitane, a global luxury cosmetics group based in Europe and listed on the Hong Kong Stock Exchange, in connection with the €6 billion take-private offer launched by Reinhold Geiger. The offer is financed by Crédit Agricole CIB, Blackstone and Goldman Sachs Asset Management.
This is the third major cross border public M&A deal landed by Skadden this year, following advising German biotech company MorphoSys on the €2.7 billion takeover offer by Novartis and advising US based International Paper on its $7 billion offer for UK based DS Smith. With lead roles for each deal spread amongst Frankfurt, London and Paris as well as each offer having either a significant U.S. or Asian angle, these transactions show the strength of both our pan-European and our global offering for cross-border deals "that matter".

Band-Aid maker Kenvue (NYSE:KVUE) saw its shares hit on Thursday morning after laying out guidance below Wall Street expectations.
#Kenvue said adjusted profit would sit between US$1.10 to US$1.20 per share for the year ahead in Thursday’s fourth quarter results, lower than analysts’ estimates of US$1.26.
This came after the company, which was spun off from Johnson & Johnson in August, said softer-than-anticipated performance in its US skin health and beauty business and struggles in China hit sales over the last three months of the year.
Net sales decreased by 2.7% over the quarter to US$3.7 billion as a result, missing analyst calls for the figure to sit at US$3.8 billion.
Final-quarter adjusted per-share earnings sat at US$0.31 meanwhile, with the figure stretching to US$1.29 for the full year.
Over the year, net sales increased by 3.3% to US$15.4 billion.

In an ideal world the bulk of the investments and M&A transactions would go toward the best performing beauty categories and brands. We could argue that in most of the cases this is true.
We have witnessed the #makeup brands acquisition and investment spree in 16-18 (e.g. Morphe, Anastasia Beverly Hills, Hourglass Cosmetics, Milani Cosmetics ...) followed by #fragrances in 18-19 (e.g. Nichebox acquisition of #liquidesimmaginaires#clivechristian or Givaudan 9 investments in 18-19...) and then haircare in 21-22 (e.g. Nutrafol, OUAI ...) while #skincare and personal care holds a relatively constant 40% of total number of investments and acquisitions.
So what is happening in 2024? hold tight!

While the licensed formula got to initial market faster, we quickly saw the many hiccups they hit when trying to scale their distribution. This was a fascinating live case study.
