Senate hearing concludes Our immediate feeling is that Treasury and ASIC are very much ignoring what the profession and other industry stakeholders are trying to explain regarding the problematic nature of the proposed Section 99FA. While the FAAA, FSC, Joint Licensee Group, Law Council of Australia, and the accounting bodies believe that the draft law in its current form is misleading, Treasury, ASIC and the SMC insist that changes to 99FA are clear as day. The latter see no issue with the current wording of the draft law, with ASIC insisting that it does not expect trustees to review every single SOA. However, the Law Council of Australia (being the only legally qualified people in the room today) insists that the law will always trump the EM (reminder: the EM now clarifies that it's business as usual for trustees). In fact Nathan Hodge, head of submissions at the Law Council of Australia, said today that the changes in the EM are not adequate from a legal standpoint. "We would say that the courts would likely place limited weight on the explanatory memorandum in this situation. The courts have come across this type of issue before and the following statement which has been adopted by the High Court states that where extrinsic material appears to cast doubt on the construction of words favoured by a plain meaning of those words, then the explanatory memorandum cannot override a clear purpose of the act as deduced from its own language. "So in effect the words in explanatory memorandum, cannot be substituted for the text of the law." But despite this, Dr Moore from Treasury (who did not tune in to the LCA's hearing) says the current 99FA didn't provide sufficient legal certainty as per the Quality of Advice Review, and hence needed to be redrafted. "The new 99FA that's in the bill seeks to directly address that issue by making the steps or elements that would go to ensuring that fee deduction is appropriate, clear and explicit in the law." Asked by Bragg whether Dr Moore believes the Law Council is wrong, he said: "I'm not sure, I didn't hear the Law Council's evidence earlier today so I can't comment on that." "What I can say is that the existing test and the new test are both objective tests, they both reflect trustee obligations in the law. The difference between the new one as opposed to the current one is that it provides greater clarity by more fully setting out the elements of that objective test". Thanks for tuning in.
