Here is an example of what most people would consider an egregious use of the tax code and private-equity (P-E) founders not aligning themselves with their shareholders. A few lowlights: 📑 P-E firm has a corporate structure that allows for tax-receivable agreements (TRAs) that create valuable tax assets for the company when founders and early investors sell their shares after an Initial Public Offering (IPO). Typically, the TRA is split 85/15 between the investor and the company because the sale creates significant tax liabilities for both parties. When functioning correctly, this can be a win-win for both parties. 💰 In one recent P-E restructuring deal listed in the article, there were little tax assets created from the deal, yet the Board of Directors of a publicly traded company authorized an $850M payment to the company founders and private-equity backers for a liability valued at $175M. Shareholders sued and are likely to receive a settlement offer. The amounts of money involved are staggering and activities like this point out how portions of the tax code are ripe for exploitation and that shareholders need to pay close attention to what they invest in. #privateequity #taxes
