Quo vadis, RIA aggregators?
Creative Planning's acquisition of former United Capital Financial Advisers, LLC from Goldman Sachs is ringing in the next chapter for one of the original RIA aggregators. The firms that shaped this space such as Focus Financial Partners, Hightower Advisors, and United Capital Financial Advisers, LLC all started out 15+ years ago, each with a somewhat different business and operating model, but having in common that they leverage capital to make acquisitions in an RIA market that is inherently fragmented. While it is undisputed that there is enterprise value being created by acquiring and integrating small- to mid-sized RIA firms into larger entities, it is still unclear what the ultimate, long-term ownership structure of RIA aggregators will be. The market has seen many twists and turns and many frustrating experiences along the way. We have seen two key events in recent months: (i) Focus Financial Partners' going public and soon after returning to private equity ownership and (ii) United Capital Financial Advisers, LLC having been acquired by Goldman Sachs which in turn sold it on to an RIA aggregator only a few years later as it could not make the business model work within its corporate structure. Neither being subjected to the quarterly reporting cycles of a public company nor being owned by large financial institution/bank seems to be conducive to the RIA aggregator model. It is no surprise that private equity firms seem to understand the M&A-based playbook of RIA aggregator firms the best and are a good home for these firms at least during their active growth phase. Only time will tell what other strategic ownership options will be viable for RIA aggregators.
