This is what I've been working on for the past 3 years. With the support of the very capable and talented Thankyou Payroll board, senior leadership and with the support of 99.75% of voting shares from our 190+ shareholders we've broken new ground for Social Enterprises here in Aotearoa New Zealand. It was not easy but the results might be the most important contribution to the Social Enterprise and charitable sector I will ever have the privilege of being involved with. First thing to note is that this process can better reward investors financially than dividends can (the near equal of a standard sale to a 3rd party in many cases*) and at the end of the process you get the best possible conditions for an organisation to fund impact projects - that is full charitable status and ownership that prioritises the public good in perpetuity! We are not aware of any other country in which this process is able to outperform the financial returns to shareholders this way - this maybe the most virtuous way to take advantage of the lack of a capital gains tax ever devised. Better yet it is not confined to Social Enterprises or purpose driven organisations! If you own a for-profit business and are not satisfied with your dividends or drawings you can increase your returns via this process and do something amazing for your community in the process. *assuming the valuation is calculated using Discounted Cash Flow with a standard WAAC.

What happens when the chief executive of a charitable trust employs someone without the apparent authority or knowledge of the Trust’s board? [2024] NZERA 145 deals with exactly this situation, as one of a series of determinations dealing with the acrimonious winding up of a trust which aimed to “transform justice” in NZ. In this and the other determination, the Authority was required to rule on whether the representations made to a former employee could bind the Trust itself. Ultimately, the Authority thought they could. The Authority wasn’t pursuaded trustees had no knowledge of an agreement to contract with the employee on the basis of minutes apparently recording the same and given the chief executive’s ostensible authority, notwithstanding the employee was also aware his role was voluntary. The Trust is without assets but is now required to agree the quantum of arrears, both of pay but also entitlements like leave, with the employee. Whether any obligations will ever be fully discharged remains to be seen. This case is a good reminder that representations made by someone with ostensible authority can bind an organisation, including where those representations were made without apparent authority.
