𝐘𝐨𝐮𝐧𝐠 𝐜𝐨𝐦𝐩𝐚𝐧𝐢𝐞𝐬 𝐜𝐚𝐧’𝐭 𝐫𝐚𝐢𝐬𝐞 𝐜𝐚𝐩𝐢𝐭𝐚𝐥 𝐟𝐫𝐨𝐦 𝐭��𝐞 𝐩𝐮𝐛𝐥𝐢𝐜? This is a MYTH! In 2017, the Australian Government created the ‘𝗘𝗮𝗿𝗹𝘆-𝗦𝘁𝗮𝗴𝗲 𝗜𝗻𝗻𝗼𝘃𝗮𝘁𝗶𝗼𝗻 𝗖𝗼𝗺𝗽𝗮𝗻𝘆 𝗦𝘁𝗮𝘁𝘂𝘀’ by making amendments to the 𝘐𝘯𝘤𝘰𝘮𝘦 𝘛𝘢𝘹 𝘈𝘤𝘵 to enable small, young companies that have been undertaking ‘𝗶𝗻𝗻𝗼𝘃𝗮𝘁𝗶𝘃𝗲 𝗮𝗰𝘁𝗶𝘃𝗶𝘁𝗶𝗲𝘀’ to raise capital from investors, with built-in ‘encouragement’ to investors to invest in ‘qualifying companies’. The Early-Stage Innovation Company (ESIC) Status is clearly targeted at SMEs. This week, we will discuss the opportunities for qualifying companies and the ‘encouragement’ that the government is offering investors, to invest in companies which qualify for the ‘Early-Stage Innovation Company’ status. Companies which have been incorporated under section 708 of the 𝘊𝘰𝘳𝘱𝘰𝘳𝘢𝘵𝘪𝘰𝘯𝘴 𝘈𝘤𝘵 and who have undertaken innovative activities can be eligible. The first test is the ‘𝗧𝗲𝘀𝘁 𝗧𝗶𝗺𝗲 𝗗𝗲𝘁𝗲𝗿𝗺𝗶𝗻𝗮𝘁𝗶𝗼𝗻𝘀’. The three (3) components of companies that can apply are… 𝗖𝗼𝗺𝗽𝗮𝗻𝘆 𝘂𝗻𝗱𝗲𝗿 𝘁𝗵𝗿𝗲𝗲 (𝟯) 𝘆𝗲𝗮𝗿𝘀 𝗼𝗳 𝗮𝗴𝗲: expenses of less than $1M in the income year before the current year. Assessable income of less than $200,000 (excluding any grant funds from the Accelerating Commercialisation Grant) in the income year before the current year. Not listed on a stock exchange anywhere in the world. 𝗖𝗼𝗺𝗽𝗮𝗻𝘆 𝘂𝗻𝗱𝗲𝗿 𝘀𝗶𝘅 (𝟲) 𝘆𝗲𝗮𝗿𝘀 𝗼𝗳 𝗮𝗴𝗲: across the last three of those income years incurred total expenses of $1M or less. Afraid of change? Better to be curious than sorry... A few days ago, I had the opportunity to attend the event “Impact Now: Another capitalism is possible”, organized by the Human Foundation and The Global Steering Group for Impact Investment (GSG) in Italia. Thank you, Filippo Montesi Altamirano for the invitation. Among all the interesting opinions I heard in the forum, I was particularly interested in Sir Ronald Cohen's presentation. I took note on what he shared about the profound changes we are currently going through, leading to a full immersion into the #ImpactEconomy: 🙋♂️ Change in values: more people are choosing products and services from companies that have good social and environmental focus. 🌐 Technological evolution: artificial intelligence is opening paths; for example, now we have new financial platforms to generate inclusion and democratization for innovation in sustainable development. 📚 Strength of transparency: we have more ways to measure indicators as social and environmental impact, and financial return. Being part of this important conversation helped me reassure the idea that has always led my work: change is part of evolution. Therefore, working towards legislative and public policy change to foster Impact ecosystems is a role for all lawyers and legal activists to fully embrace. Harald Walkate and I recently wrote a series of articles on the European Corporate Governance Institute (ECGI) blog called "Does sustainable investing work?". We used a three-stage rocket analogy to look at what the academic evidence says about the efficacy of sustainable investing approaches and what insights can be drawn about where sustainability-concerned investors should focus. This was based on our review of the academic finance and law literatures on the topic. The articles were written very much with practitioners in mind, to help them understand (at least our view of) academic perspectives on these topics. We thought it might also be helpful to share the basis of our literature review, to provide an entry point for practitioners keen to get into the details more themselves. We stood on the shoulders of giants, drawing on existing academic literature reviews. For a practitioner seeking to get into the literature, a readable literature review is a great place to start, and the ones we highlight here are all publicly available through open access or on SSRN. In this article we also highlight some of things that need to be taken into account when interpreting academic papers for application in a practical context. In general, no single paper provides actionable insight, but drawing conclusions from a body of literature can. Although we have focussed here on a subset of the literatures (predominantly finance and law) relevant to the impact of sustainable investing, nonetheless we hope it's a useful entry point for practitioners who are interested in looking at academic evidence but don't know where to start. It's done! The 2023 EU Industrial R&D Investment Scoreboard has been published! I am very grateful to the 14 authors from two JRC Directorates and four different units who contributed to the 9 chapters of the report. 185 pages, 103 figures and 45 tables inform you about the R&D investments of the world's top 2500 R&D investing companies and the top 1000 EU companies. In addition to R&D monitoring, we provide a 20-year perspective on sectoral developments and the role of R&D in overcoming economic crises. We analyse recent developments in the patenting of environmentally friendly transport technologies, global value chains in the automotive industry, the patenting of advanced materials by the companies listed in the Scoreboard and an analysis of AI ecosystems. To mark our 20th anniversary, we have also compiled a dataset of the leading companies investing in research and development for the period 2003-2022. R&D scorecards are vital tools for policymakers. They provide essential data that guide strategic decisions, stimulate investments, and foster an innovation-friendly environment. These tools help ensure that R&D efforts align with broader economic and social goals, ultimately driving sustainable growth and competitiveness. The Industry Research and Development Board last published the Business R&D Investment Scorecard in 1997. This publication provided detailed insights into the research and development investments by the top Australian companies. An analysis of the 2,200 ASX-listed companies undertaken by the Acton Institute for Policy Research and Innovation reveals that only 353 Australian-headquartered companies reported expenditure on R&D in 2022-23. A further 54 companies, headquartered overseas and also listed on the ASX, report R&D expenditures. Most of these companies are headquartered in the USA, Israel, Ireland, Singapore, and New Zealand. The following trends in corporate R%D are in play: 1. Some companies, particularly in the pharmaceuticals sector, are continuing with a vertically integrated R&D process, from discovery through scientific research, clinical trials, distribution, and sales. 2. In other sectors with once-large centralised corporate R&D labs are disappearing, and R&D is becoming more distributed through a range of innovation sourcing strategies. This focuses more on the Development aspects of R&D. 3. In some other sectors companies are moving away from investing in R&D (the creation of knowledge) towards “Innovation” (the application of knowledge), which is associated with very strong commercial metrics. For Australia’s industrial future, more companies are needed to engage in “Real R”—that is, risk-taking, exploratory research where it might fail. Businesses must invest in this sort of research if they are going to create new products and services rather than simply being fast-follower adopters. These developments highlight how little systematic knowledge we have of the R&D performance of companies investing in R&D in Australia. While we know about trends at the industry level, we have very little knowledge of which companies have leading roles and impacts in R&D investments. This is particularly significant given Australia's current very low level of business R&D investment. The research for this Paper has provided insights into the R&D expenditures of Australian-listed companies and overseas companies with marketing, sales, and distribution activities in Australia. The information can serve as a focus for strategies to encourage overseas-headquartered corporations to undertake more of their R&D in Australia.
