Observation: Right now there’s a ton of demand for flexible legal talent that can help review commercial agreements. It’s mostly anecdotal but I’ve been getting a ton of inquiries from General Counsels at growth stage companies. Maybe it’s because I live in the tech-heavy SF Bay Area, or maybe because I used to work in the contracts tech (CLM) space. But the takeaway to me seems to be clear: There’s a huge need for flex talent, ie. interim in house counsel, to help review contracts. I’ve spent some time wondering about why that is. Unlike sales teams, legal teams at growth stage companies are not typically staffed with excess capacity--they are all super lean. So when the company experiences an unexpected spike in sales (a common feature of growth stage companies) a flood of new contracts comes through the door. Legal teams don’t have the resources to review them quickly. So they end up getting blamed for delays. There are traditional solutions to this problem, but they’re all imperfect. For example, some General Counsels ask their teams to work more. But that can compound the problem through burnout, mistakes, and ultimately—turnover. Another solution is to outsource the excess contract review work to a law firm. But the outside lawyer might be unaware of the nuances of your business, and can end up being a lot more expensive than expected. However, with flex talent, General Counsels get the best of all worlds for reviewing commercial contracts. Someone who works closely with your existing team but doesn’t have the same cost structure as a FTE or the unpredictable expense of a law firm. Other macro forces are accelerating this trend. For example, the pandemic and the rise of Zoom/Teams has led to the creation of a completely new, high quality flex talent pool that’s distributed across the country. At the end of the day, the General Counsel is responsible for prioritizing the legal function’s most important initiatives. To do that successfully, they have to assign the right resources to the right problems. As legal execs realize how flex talent can be used to meet unexpected demand, I think we will see even more interim in house job postings--not just for contracts but for other practice areas as well. Ultimately, this will free up legal teams to focus on the most strategic type of work that can *really* move the needle for their company. Which is an entirely different topic worthy of a longer discussion.
