But… It’s not time to pop any champagne just yet (although the partners at Welsh, Carson, Anderson & Stowe are entitled to at least one…) First, while WCAS is excluded as an investor, the antitrust case in TX proceeds against the investment in US Anesthesia Partners - jeopardizing sizeable bets that have been made. Nothing about this decision changes the use of antitrust as a core weapon by the FTC and DOJ to reshape the economy. Second, while this may be another “loss” for Lina Khan and the Federal Trade Commission - these losses are effectively reshaping legal contours especially when, as with this instance, the loss creates guidance for the next round. The reason Khan is “grinning like she’s winning” is that she and others on her side have been playing a longer game than just one case or just one investment. I’ve guided strategies that repeatedly lost battles because that’s what was needed to win the broader war - the goal for Khan and others isn’t to take down a specific investment with a legal action, it’s to reshape the entire landscape through a political campaign. The next wave of attacks is inevitable. The only question is whether investors and their portfolio companies prepared.
