Job Description

The Vice President and General Counsel for A&K will play a critical role in mitigating risks for the organization while helping to shape and execute the company's strategic vision for growth. Reporting to the President, the VP General Counsel will be responsible for overseeing all legal matters, ensuring regulatory compliance, and providing strategic legal advice to support the company’s ambitious goals. This position is located at our headquarters in Salt Lake City, UT.

Responsibilities

  • Provide strategic legal guidance to senior management to support the company's strategic vision and growth initiatives.
  • Oversee and manage all legal matters, including contracts, litigation, compliance, and intellectual property.
  • Mitigate risks by developing and implementing legal strategies that align with the company’s objectives.
  • Ensure compliance with all applicable laws and regulations across the company's operations.
  • Collaborate with various departments to ensure timely and effective execution of contracts, particularly in relation to large commercial contracts, acquisition of materials, and other strategic projects.
  • Lead efforts to strengthen A&K's global footprint by providing legal support for international expansion initiatives, including partnerships and compliance with foreign regulations.
  • Coordinate efforts internationally, working with clientele across North and South America to expand A&K's market presence.
  • Advise on corporate governance matters and ensure adherence to best practices in corporate governance.
  • Conduct legal research and stay updated on industry-specific regulations and trends to proactively address potential legal issues.
  • Manage relationships with external legal counsel and coordinate their efforts to align with the company's objectives.
  • Support the company’s talent management strategy by ensuring compliance with employment laws and regulations and providing legal advice on HR-related matters.
  • Foster strong relationships with international clients and partners, ensuring smooth and compliant business operations across different jurisdictions.
  • Travel as needed to operations and build strong relationships with partners and clients.
  • Collaborate with the affiliated short line railroad operations to apply for federal and state grants to support expansion and the maintenance needs of these assets.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar and in good standing.
  • Minimum of 8 years of legal experience, with a focus on corporate law, contracts, and compliance.
  • Proven experience in the railroad industry, manufacturing, or related sectors.
  • Strong analytical, critical thinking, and problem-solving skills.
  • Excellent communication and interpersonal skills, with the ability to work collaboratively across departments.
  • Demonstrated ability to provide strategic legal advice that aligns with business goals.
  • Experience in managing legal aspects of international contracts.
  • Fluency in a second language, such as French, Spanish or Portuguese, is a plus.
