Senior Vice President, General Counsel and Secretary to the Board of Trustees

Job Description And/Or Duties

  • General. Provide legal advice to the CEO and staff on general legal matters, including ethics and financial disclosure and reporting; manage and ensure compliance with export control regulations and Foreign Corrupt Practices Act; serve as the chief legal officer on transactional matters including leases, contracts, licenses, intellectual property filings, data use agreements; legal disclosures, and employee relations matters; liaise with other general counsels at other Department of Defense Federally Funded Research and Development Centers; coordinate engagements with outside legal and law enforcement officials; manage all litigation and use of outside counsel; negotiate and resolve data sharing agreements; advise on best practices associated with privacy and data protection laws; oversee legal and regulatory aspects of data collection and use as well as privacy disclosures and transparency.
  • Corporate Board Secretary. Serve as the Corporate Secretary to the Board of Trustees; ensure that all Board decisions are properly recorded, and appropriate records maintained; serve as the CNA staff liaison to the Governance and Ethics Committee of the Board of Trustees; provide legal advice to Trustees on ethics, conflicts of interest and financial disclosures; provide legal counsel on corporate law and governance; assess potential conflicts of interest of prospective Trustees; and keep pace with trends in corporate governance.
  • Congressional Affairs. Represent CNA with Congress; monitor and coordinate legislative/congressional activities including analysis of pending legislation, testimony and subpoenas, and compliance with lobbying restrictions placed on CNA because of its FFRDC status; stay informed of research results that could be relevant to members of Congress and/or their staffs; work to convey that information to Congress.
  • Interdepartmental coordination. Build and maintain mutually supportive relationships with all levels of management, staff, outside agencies and vendors.

Job Requirements

  • Education: Must have a Juris Doctor.
  • Experience: At least 12 years legal work experience at a corporate level or in government. Must also have public policy and public management expertise. Work experience in a not-for-profit or government contractor environment is highly desirable.
  • Skills: Excellent written and oral communication skills. Ability to communicate and negotiate effectively with clients and external parties. Excellent interpersonal skills with the ability to generate trust and build relationships. Proactive with effective problem solving skills.
  • Other: Ability to obtain and maintain security clearance.
  • Remote/Hybrid Work Eligibility: This position is eligible for telecommuting or hybrid work arrangements at the discretion of the Supervisor. Employees may be required to work at CNA headquarters or other work locations resulting in changes to the scheduled telecommuting or hybrid work arrangements.
