Senior Legal Counsel - Project Finance

Position Overview: Our client is seeking a seasoned Senior Legal Counsel specializing in Project Finance to join our legal team. The ideal candidate will have extensive experience in structuring and negotiating project finance transactions within the solar industry. This role offers the flexibility to work remotely and the opportunity to make a significant impact in advancing our mission to drive widespread adoption of solar energy.

Key Responsibilities:

1. Project Financing: Lead the legal aspects of project finance transactions, including debt and equity financing arrangements for solar energy projects.
2. Contract Negotiation: Negotiate and draft financing agreements, credit facilities, loan documents, and other relevant contracts with lenders, investors, and project stakeholders.
3. Due Diligence: Conduct legal due diligence on project finance transactions, assessing risks and advising on mitigation strategies.
4. Regulatory Compliance: Ensure compliance with applicable laws, regulations, and industry standards related to project finance and renewable energy development.
5. Risk Management: Identify legal risks associated with project finance activities and develop strategies to mitigate exposure.
6. Transaction Support: Provide legal support throughout the project lifecycle, from initial development and financing to construction, operation, and disposition.
7. Collaboration: Work closely with cross-functional teams, including finance, development, and operations, to facilitate successful project execution and financing.

Qualifications:

• Juris Doctor (JD)
• Admission to the Bar in the relevant jurisdiction.
• Minimum of 5 years of experience practicing law, with a focus on project finance within the renewable energy or infrastructure sector.
• Demonstrated expertise in structuring and negotiating complex project finance transactions, with a strong understanding of debt and equity financing mechanisms.
• Familiarity with tax equity structures, power purchase agreements (PPAs), and other key aspects of solar project development.
• Excellent communication, negotiation, and analytical skills.
• Ability to work independently and collaboratively in a remote environment, managing multiple priorities effectively.
