Company Overview Northern Rock (www.nrockusa.com) is a company that buys, operates, and grows exceptional businesses. Northern Rock recently closed a $45M+ Series D investment round from one of the most respected venture capital firms in the world to accelerate the acquisition strategy of its automotive brand, Main Street Auto (www.mainstreetauto.com). Northern Rock is seeking an in-house lawyer to support Main Street Auto in acquiring automotive repair shops and associated real estate across the United States.

Job Description:

· Work with outside legal counsel to draft, negotiate, and revise asset purchase agreements, real estate purchase agreements, leases, and other transactional documentation in connection with each one of Main Street Auto’s acquisitions

· Manage the legal and real estate diligence process associated with each of Main Street Auto’s acquisitions

· Resolve legal issues and disputes both in-house and with the support of outside legal counsel, whether relating to employment law, intellectual property, contractual disputes, actual or threatened litigation, or otherwise

Qualifications:

· J.D. and active member of any state bar

· Preferably at least 4 years of experience as a transactional attorney

· Experience drafting and negotiating contracts in connection with mergers & acquisitions, especially those concerning real estate

· Experience in employment law, intellectual property, and/or litigation is helpful but not required
