We are seeking a Senior Counsel to join our forward-thinking team. As a client-focused professional, you will lead negotiations, provide comprehensive legal strategies, and manage corporate governance processes. This role is ideal for an entrepreneurial attorney with strong leadership skills.
Responsibilities:
Lead negotiations of SaaS agreements with Fortune 500 clients, coordinating issue resolution for subject matter expert review.
Assist business units in structuring and negotiating various transactions related to product commercialization, corporate development, early-stage investments, joint ventures, and mergers and acquisitions.
Collaborate with third-party subject matter experts to develop efficient legal strategies.
Manage internal corporate actions, charters, bylaws, and board meeting materials.
Work with the Managing Counsel to drive growth.
Operate independently, demonstrating sound judgment and proactive issue escalation when necessary.
Qualifications:
Education: JD from a top-tier 100 law school with excellent academic credentials.
Bar Admission: Admitted to the state bar where the candidate resides.
Experience: 6+ years at a law firm (preferably AmLaw 100), in-house, or both.
Polished work product delivery.
Effective collaboration with clients and negotiation with third parties.
Strong drafting skills and ability to incorporate client-preferred terms.
Commitment to integrity and leading with empathy.
Excellent project management and communication skills.
