About the role:

Adeia is seeking a senior commercial transactions attorney to support outbound licensing and other commercial matters for Adeia. As Adeia continues to grow, the company is seeking an experienced, motivated, energetic, and proactive team-player to add to its Legal team.


Primary Duties:

  • Draft and negotiate highly-complex domestic and international license agreements, while considering various related legal, business and financial issues.
  • Draft and negotiate inbound license agreements, NDAs, strategic partnership agreements and M&A agreements.
  • Collaborate with internal colleagues within the sales, legal and finance teams.
  • Be an effective business partner who is able to provide practical advice, lead negotiations, and bring complex commercial deals to closure.
  • Comply with and shape the internal policy of the licensing program and play a key role in improving the licensing program.


Qualifications / Experience:

  • Law degree from a top tier accredited law school and licensed to practice law in at least one state.
  • 5+ years of experience in drafting and negotiating license agreements.
  • Experience supporting IP acquisition transactions, technology licenses, and other procurement agreements preferred.
  • Excellent contract drafting and negotiation skills.
  • Business-oriented lawyer with an understanding of how to translate business needs into contract language (including creativity in finding solutions to help resolve business issues).
  • Great attention to detail and ability to work well with cross-functional organizations.
  • Ability to think practically and be solution-oriented.
  • Ability to work independently and appropriately prioritize and handle multiple projects concurrently in a fast-paced environment.
  • Capable of articulating complex issues succinctly and identifying and assessing risk efficiently.


Location: Preference for the San Francisco Bay Area and the Greater LA Area. Our headquarters is based in San Jose and we have a smaller office in Burbank. Employees have flexibility to work in a hybrid model with Tuesday’s as in-office days to build connection with co-workers.
