We are seeking an experienced Senior Contracts Manager who can match the talent and ambitions of our Company. Our ideal candidate will continue to thoughtfully augment and professionalize our contracting functions to allow Nuna to quickly meet our growing market aspirations.
YOUR OPPORTUNITIES
The Senior Contracts Manager will assume a wide range of responsibilities, all of which will require critical thinking, innovation, attention to detail and integrity. Nuna is a rapidly growing company, and the Senior Contracts Manager will need to manage multiple priorities, work independently, and be a self-starter. You’ll be a valued member of the Legal and Operations Team, with the support and resources l needed to be successful.
In This Role, You Will
Manage contracting workflow from initial request through to signature cycle This working closely with all departments on the Operations team (Accounting, HR, Compliance) as well as engineering, product and executive teams on projects relating to contracts reporting and procurement
Review the legal terms of a broad range of standard vendor contracts, including subscription agreements, confidentiality, software licensing, and consulting agreements
Manage contract renewals, extensions, amendments, and terminations, negotiating terms that align with changing business needs
Under supervision of legal counsel, draft contract language for vendor contracts
Manage record keeping for contract-related correspondence and documentation, as well as all internal department files and resources
Maintain and assist in developing standardized contract templates, playbooks and internal knowledge management resources
Be a trusted business partner providing timely, thoughtful and helpful responses to requests from internal customers regarding company policies, legal issues, and risk tolerance
Use good judgment in knowing when to escalate issues within the legal team for further evaluation or approval
Resolve contract disputes, conflicts, and issues that may arise during the contract lifecycle through effective communication, negotiation, and problem-solving skills
Identify opportunities for process improvements, standardization of contract templates, and automation of contract management workflows to enhance efficiency and effectiveness
Monitor vendor performance against contract obligations, service level agreements (SLAs), and key performance indicators (KPIs), and take corrective actions as needed
Qualifications
Required Qualifications
6+ years of contracts management, operations, or other comparable experience with an in-house legal department at a technology company
A demonstrated understanding and strong working knowledge of common contractual issues associated with commercial agreements, with particular emphasis on SaaS-based software licensing agreements
Experience in reviewing and negotiating a variety of contracts, such as software licensing agreements, SaaS agreements, service agreements, and NDAs
Proven experience in negotiating and managing multiple complex contracts - able to meet deadlines and coordinate cross-functional teams to ensure contract compliance and successful execution
Strong understanding of legal terms and contract language
Familiarity with intellectual property rights, data privacy laws, health law, and regulatory requirements related to technology contracts
Strong communication and interpersonal skills to build and maintain relationships with vendors, customers, and internal stakeholders
Willingness to adapt to rapidly changing technology landscapes, emerging trends, and market dynamics to drive innovation in contract management practices
Bachelor’s Degree; a certification from an ABA-approved paralegal program a plus
Excellent written and oral communication skills
Expert at MSWord Track Changes, DocuSign, and Adobe Acrobat Pro
Familiarity with collaboration tools such as Google Sheets, Google Docs, and Box
Preferred Qualifications
Healthcare industry experience, including familiarity with HIPAA, BAAs, and privacy law
Familiarity with government contracting, including FAR-compliant contracts/subcontracts
Experience using contract management systems, such as Ironclad and the ability to improve and evaluate current tooling
Experience with corporate governance
We take into account an individual’s qualifications, skillset, and experience in determining final salary. This role is eligible for health insurance, life insurance, retirement benefits, participation in the company’s equity program, paid time off, including vacation and sick leave. The expected salary range for this position is $96,000 to $117,000. The actual offer will be at the company’s sole discretion and determined by relevant business considerations, including the final candidate’s qualifications, years of experience, and skillset.
