Senior Contracts Administrator
W2 Contract-to-Hire
Salary Range: $114,400 - $135,200 per year
Location: Hayward, CA - Onsite Role
Job Summary:
As a Senior Contracts Administrator, you will partner with General Counsel and internal clients from various departments to review, negotiate, and draft contracts covering our business relationships with manufacturers, suppliers, collaborators, researchers, and customers. You will support day-to-day equity plan administration, including processing stock option grants, maintaining the equity database, and supporting our Legal Department.
Duties and Responsibilities:
- Draft, negotiate, review, maintain, and interpret written contracts covering a range of company activities worldwide (NDAs, MSAs, research agreements, sales agreements, etc.).
- Manage our contract life cycle management (CLM) system to efficiently track the status of both in-process and active contracts, maintain the archive of legal contracts, and translate contractual data into meaningful information for each functional area.
- Drive and facilitate the contract approval process.
- Support the development of various policies, templates, forms, and agreements, including non-disclosure agreements, consulting agreements, clinical trial agreements, vendor agreements, and work orders, as we develop new products and enter new markets.
- Respond to inquiries regarding contract obligations and revisions and identify and mitigate legal and business risks.
- In collaboration with the General Counsel, provide internal training to coworkers on a range of topics if needed.
- Provide legal and administrative support concerning external legal matters, disputes, and inquiries.
- Function as a program manager to track the progress of multiple projects, working with teams to communicate deadlines, unblock issues, and liaise with outside counsel and other advisors, as necessary.
- Effectively collaborate with cross-functional teams (Engineering, Finance, Clinical, HR, etc.) and other legal colleagues to solve problems, build partnerships, and accomplish critical business objectives.
- Manage day-to-day administration of the company equity incentive program on a third-party platform.
- Ensure all equity plan transactions, including stock option grants, exercises, vesting schedule changes, and terminations, are processed correctly and promptly.
- Perform legal research and report on relevant statutes, court decisions, codes, etc.
- Assist attorneys with transaction closings, data rooms, and corporate records maintenance.
- As needed, provide administrative support for in-house attorneys (filing, calendaring, etc.).
- Represent the Legal Department internally to clients across all levels of management.
- As needed, assist with producing and disseminating materials for board and shareholder meetings.
- Support the Legal Department in all corporate governance matters and management of entities globally.
Requirements and Qualifications:
- 5+ years of contract management expertise, preferably in clinical research, life science, or medical device settings, or equivalent experience
- Strong understanding of legal language and principles, research methods, contracts, and in-house legal operations
- Familiarity with record retention practices and CLM systems like LinkSquares
- Experience working with publicly traded companies and different types of equity plans is preferred.
- Excellent oral and written communication skills and critical thinking skills
- Able to work conscientiously and with minimal direction, using good judgment, taking initiative to accomplish short- and long-term projects, and recommending actions with minimal direction.
- Excellent interpersonal, time management, and customer service skills
- Curious-minded and willing to expand beyond your expertise
- Efficient, detail-oriented, organized, resourceful, and data- and results-driven
- Proficient knowledge and skill in Microsoft Office Suite applications (Word, Excel, PowerPoint, etc.)
- Proactive, motivated, nimble, and commercially minded
- Able to handle highly confidential information with discretion.
- Tactful, principled, and able to foster pleasant and productive working relationships with all internal and external stakeholders
- Able to lift 15-20 pounds.
