Mergers and Acquisitions Associate

A Vault 50 law firm in New York City is seeking to onboard an experienced M&A Associate to join the leading Corporate Practice.

The Corporate Practice represents some of the largest and most sophisticated global public and private companies, boards of directors and special committees. The team handles the full array of transactional matters, including high-end and complex M&A transactions. The firm has received accolades from Chambers Global, The Legal 500, Law360, and U.S. News – Best Lawyers ‘Best Law Firms’.

Experience:

• Candidates must have significant experience handling M&A transactions and substantial experience dealing with public companies.
• Associates must have experience in drafting, reviewing and negotiating legal documents and agreements in a private practice environment.
• The ability to actively support the management of complex transactions, liaising and coordinating with fee earners from other relevant disciplines as needed.
• Must have the ability to engage and influence clients and be a confident stakeholder manager, both internally and externally.
• Candidates should have excellent drafting skills and attention to detail.
• Must have an interest in corporate M&A, due diligence, corporate structures and corporate governance.

Responsibilities:

• Associates will join a dynamic team with a practice that includes representation of parties in connection with public and private company transactions and takeover defense matters (including shareholder activism) in a broad range of industries.
• Work on a wide range of corporate law matters, including start-ups, M&A transactions, private equity transactions, joint ventures, investments, reorganizations, shareholder/investment agreements, and more.
• Draft a variety of business contracts including asset and stock purchase agreements, license agreements, partnership agreements, supply agreements, employment-related agreements, joint venture agreements.
• Advising clients on commercial contracts on occasion.
• Handle all aspects of commercial lease drafting and review.
• Providing corporate support to other teams within the firm.
• Negotiate contracts with opposing counsel.
