Innoviva currently has two marketed product medicines – GIAPREZA (angiotensin II), a vasoconstrictor to increase blood pressure in adults with septic or other distributive shock and XERAVA (eravacycline), an anti-bacterial for the treatment of complicated intra-abdominal infections (cIAI). In addition, Xacduro (sulbactam for injection; durlobactam for injection) co-packaged for intravenous use was approved in May of 2023 as the first pathogen-targeted antibacterial approved by the US FDA to treat hospital-acquired bacterial pneumonia and ventilator-associated bacterial pneumonia, caused by susceptible isolates of Acinetobacter baumannii-calcoaceticus complex. Innoviva Specialty Therapeutics is uniquely positioned to advancing solutions for the most critical and urgent infections identified by the world's leading public health organizations. Summary of Positon: The Manager, Legal shall report to Senior Corporate Counsel and provide general legal support to Senior Corporate Counsel and various related business teams relating to a breadth of complex legal and compliance topics specific to a fast-paced pharmaceutical company. The Manager, Legal & Compliance will closely collaborate with members of the Legal and Compliance teams to effectively streamline internal processes. Responsibilities:

  • Vendor Contract Management
  • Manage and oversee the vendor contract review process and maintain tracker of the same.
  • Serve as the main point of contact for contract review requests from business stakeholders and the finance department.
  • Manage the queue of pending contract review requests, including drafting weekly meeting agendas for the Chief Financial Officer’s review and approval, and providing regular updates of vendor contract deadlines, auto-renewals and projected expirations to Senior Corporate Counsel and business stakeholders.
  • Maintain and update a library of standard documents, contract clauses, and templates relevant to the vendor contract process.
  • Assist Senior Corporate Counsel, and other members of the legal team as needed, with the review and negotiation of vendor contracts.
  • Draft, review, and revise commercial agreements.
  • Coordinate communication with business stakeholders, e.g., members of the Commercial, Compliance, IT, Finance, Medical and Regulatory Affairs teams
  • Maintain and expand the functionality of the vendor contract management system.
  • Initiate vendor setup in accounts payable platform for new commercial partners across organization.
  • Provide training to new hires in all aspects of the procure to pay process.
  • Maintain and expand the functionality of the requisition process in partnership with Finance and IT.
  • Licensing
  • Manage state pharmacy licensing requirements, including securing and updating state licenses as needed and completing annual and/or biannual reports to the states.
  • Manage Legal entity registrations.
  • Legal Entity Management
  • Manage and maintain director and officer slates for all legal entities.
  • Draft, review and revise corporate resolutions covering a variety of corporate governance matters.
  • Manage and oversee liquidation of subsidiaries in foreign jurisdictions.
  • Document Management
  • Assist with responding to discovery requests.
  • Facilitate and track Document Preservation Notices.
  • General Legal and Compliance Support
  • Independently perform analysis of legal and compliance related issues and propose solutions that foster a collaborative working environment. Experience & Education:
  • Bachelor’s Degree and/or relevant legal education (Paralegal Certificate)
  • Notary public
  • Two or more years of corporate legal experience is preferred
  • Significant experience with a contract management or database systems.
  • Familiarity with biopharmaceutical/life science industry is preferred.
  • Strong preference will be given to candidates with contract management and drafting experience in a healthcare, pharmaceutical, and/or law firm setting who possess an understanding of commercial transactions and legal issues relevant to the pharmaceutical industry. Skills and Abilities:
  • Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint
  • Highly organized and detail-oriented
  • Strong communication skills (both oral and written) with an ability to communicate legal issues in a clear and understandable manner.
  • Ability to build relationships across functions and sites and inspires trust and confidence through effective communication and interpersonal skills.
  • Ability to work independently and prioritize tasks/projects.
  • A strong sense of professionalism and discretion.
  • Enthusiastic and open to learning new subject matters.
  • Strong work ethic and ability to manage large workload, focus on critical priorities, and otherwise effectively meet internal legal needs and deadlines directly.
  • Excellent analytical and problem-solving skills.
  • Enthusiasm and self-starter qualities, and ability to manage responsibilities with an appropriate sense of urgency.
  • Ability to function effectively and efficiently in a fast-paced and dynamic environment.
