M&A Advisory Analyst

Position:

The M&A Advisory Analyst will be a critical part of the CastleOak M&A Advisory team, reporting directly to the Head of M&A Advisory. CastleOak's M&A expertise has been developed over several years and is a growth area for the firm. This is an opportunity to get in on the ground level of a merit-based, collaborative team whose senior professionals span relationships and industry expertise across a variety of verticals. This person will be part of a nimble, entrepreneurial team responsible for sourcing and executing M&A advisory engagements with new and existing clients including buy-side and sell-side mandates, strategic asset reviews, valuation assessments, and fairness opinions. The ideal candidate will assist in the execution of M&A assignments, working closely with client executives, the internal deal team, external counsel, accountants, consultants, and lenders to perform a variety of assignments and tasks, depending on business need.

Essential Responsibilities:

The M&A Advisory Analyst will lead or manage the following deal execution processes:

  • Deliver customized financial analysis, valuation work, and pro forma financial modeling;
  • Research, write, and structure client-ready presentations including pitchbooks and responses to competitive RFPs;
  • Assist in conducting tailored new acquisition screens, identify bolt-on acquisition targets, and spearhead roll-up consolidation studies for Investment Banking & Advisory clients and prospects;
  • Draft engagement letters on new M&A Advisory mandates;
  • Draft sell-side decks and marketing documents (e.g., teasers, confidential information memoranda, private placement memoranda, etc.)
  • Conduct financial and transactional due diligence;
  • Help identify and contact potential buyers and sellers;
  • Source optimal financing alternatives to facilitate selected M&A Advisory mandates;
  • Interface internally with stakeholders such as compliance, finance, and legal for internal approvals or to accomplish tasks; and
  • Review, analyze, and negotiate NDAs, LOIs, term sheets, and definitive purchase agreements.

In addition, the candidate will prepare deliverables for high level strategic projects and summarize major M&A industry trends utilized for periodic speaking engagements, marketing conferences, and in the firm's business planning and budgeting cycles.

Preferred Qualifications:

  • Previous financial analyst experience is preferred (1-2 years), and analyst training experience is a plus
  • Securities Industry Essentials (SIE) exam, FINRA Series 79 and 63 licenses, or obtain within 3 months
  • Proficiency in using PitchBook and S&P Capital IQ

Location: New York, NY

% Travel: 20‐30%

Work type: Full‐time, hybrid

Expected salary range: $80,000-$90,000; eligible for discretionary bonus
