Job Description

Our client is seeking a highly motivated and experienced attorney to support its global brand licensing business. This attorney will primarily draft and negotiate trademark license agreements and related legal documents in support of our client’s brand licensing program. The Legal Counsel will also generally advise and support the business team, including providing support for other commercial agreements and general corporate matters in the US. They are looking for candidates who possess a combination of legal expertise, attention to detail, organizational skills and show excellent judgment. They value candidates that work independently and collaboratively.

Key Duties and Responsibilities

• Reporting to the VP of Legal / CFO, the Legal Counsel’s responsibilities include, but are not limited to the following:
• Reviewing, drafting, and negotiating brand licensing agreements and commercial agreements.
• Providing strategic legal advice to support business initiatives and minimize legal risks.
• Developing and maintaining standard templates, policies, and procedures relating to the brand licensing business.
• Providing support on general corporate matters.
• Providing support on M&A processes and documentation review.
• Collaborating and coordinating with internal teams across different time zones to address legal issues and support business objectives.
• Maintain organized documentation and records of legal matters.
• Staying updated on changes in licensing laws and regulations.

Qualifications and Experience

• Juris Doctor (JD) degree from an accredited law school or international equivalent.
• Admission to the bar in the state or jurisdiction where the employee will be practicing.
• 5+ years of experience practicing law at a law firm or in-house, including at least 3 years of experience with contract drafting and negotiation and experience in corporate general matters. Experience in M&A processes and documentation review is appreciated.
• Strong knowledge and experience in intellectual property laws
• Excellent drafting and negotiating skills, with attention to detail and interpersonal skills.
• Ability to work independently and collaboratively, with a proactive and problem-solving mindset, while managing multiple projects and deadlines in a fast-paced and dynamic environment.
