Fund Formation Counsel - Global Asset Manager

Partnering with one of the Global Leaders within the Private Credit Space, this elite firm is seeking to add a Fund Formation Counsel who has experience within the Private Credit or Private Debt Space

Responsibilities:

• Provide legal counsel on private credit and private debt fund formation matters.
• Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, and side letters.
• Advise on regulatory compliance, including SEC and Investment Advisers Act requirements.
• Collaborate with internal teams and external service providers to ensure successful fund launches.
• Conduct due diligence on investment opportunities and assess legal risks.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Big Law Experience preferred
• Admission to the bar in the relevant jurisdiction.
• 4+ years of experience in private fund formation, preferably with a focus on credit or debt funds.
• Strong understanding of securities laws and regulations.
• Excellent drafting and negotiation skills.
• Ability to work independently and collaboratively in a fast-paced environment.
