About This Job
Paralegal professional to support the in-house legal and compliance teams. Primary responsibilities include acting as a liaison with the sales team to facilitate the efficient review of client related legal issues including contract review to help the company generate revenue, reviewing and drafting non-disclosure agreements; organizing and maintaining files related to contracts and corporate governance; capitalization table management; contract management.
Responsibilities
Knows the Business
- Provides legal assistance to company attorneys and members of the compliance team
- Pre-and post-execution contract management:
- Reviewing drafted contract related documents such as statements of work to ensure accuracy
- Tracking acquisition of clients and name change and preparing the appropriate documentation
- Tracking contract cancellations and preparing and sending the appropriate termination correspondence.
- For any non-template agreements, working with the sales and operations departments to ensure that the contract terms are communicated to the appropriate personnel and identifying the individual responsible for tracking and enforcing certain terms of the agreement.
- Capitalization table management
- Conducts and assists with legal research
- Assists with onboarding a new contract management system
- Maintains electronic files of legal documents
- Assists with preparing presentations for the legal and compliance departments
- Legal entity state compliance management with outside vendor (CSC)
- Prepares correspondence
- Other tasks as may be assigned
- Strong organizational, time management, and communication skills
- Cleans up and maintains files related to contracts and the legal department
- Will work in an environment requiring absolute discretion and confidentiality
- Information within the legal and compliance departments is sensitive and confidential and may be legally protected proprietary information. Such information cannot be disclosed internally or externally without express authorization.
- Candidate should be able to demonstrate having worked in such an environment.
- Ability to work effectively in a team environment and independently
- Other job-related duties that may be assigned
Minimum Requirements
- Bachelor’s degree in a relevant field, such as paralegal studies, legal studies, or business law; paralegal certification a plus
- Minimum two years of experience as a paralegal or a legal assistant
- Proficiency with Microsoft Office Suite including Word, PowerPoint, Excel, and Outlook
- Working knowledge of legal terminology and legal writing
- Work from home
- Minimum internet speed of 6 mbps download and 3 mbps upload; Directly connected into modem; No satellite
- Interpersonal Skills:
