Corporate Paralegal - Los Angeles - Century City - 0166

Corporate Paralegal needed in our Los Angeles - Century City office. The ideal candidate will have 3 to 5 years of corporate and transactional experience. This role will be responsible for handling all general corporate paralegal work for the Firm's corporate department. The ideal candidate will have superior organizational skills, can handle a high volume and fast-paced environment, pays strict attention to detail, and takes initiative to ensure all tasks are completed in a timely manner. We are seeking highly motivated individuals who love a challenge and enjoy working in the corporate arena.

Your Corporate Paralegal Duties And Responsibilities

• Form, merge, and dissolve entities.
• Prepare documents for filing with Departments of State and other jurisdictions; work with outside agents for filing out-of-state documentation; following up on filings
• Assist with corporate transactions including mergers & acquisitions, capital market transactions, venture capital investments, financing, and private equity.
• Preparing Stock Certificates
• Preparing and revising organizational charts
• Maintain closing checklists and documents for corporate transactions.
• Retrieve public records.
• Prepare and file UCC Financing statements.
• Perform research of UCC and laws governing business organizations
• Perform UCC/lien searches.
• Coordinate documents retrieval from government agencies, review corporate public records and draft analyses.
• Maintain corporate minute books.
  
  

The expected salary range for this position is between $75,000 and $105,000. Actual pay will be adjusted based on experience and other job-related factors permitted by law.
