About the Role:

The position of Corporate Paralegal is responsible for providing day-to-day paralegal support to the Legal Department for Sky River Casino. Directly reporting to the General Counsel on all legal matters with different levels of complexity, including, but not limited to, drafting, reviewing, negotiating, processing, revising, tracking, and filing of agreements, including commercial transactions and vendor services agreements, as well as providing assistance with litigation, corporate governance, regulatory compliance, special projects and performing other operational assignments for Sky River Casino.


Responsibilities:


  • Oversees contract administration, including drafting, revising, and managing contracts for review by the General including nondisclosure agreements, client service agreements, business associate agreements, master agreements, licensing agreements, vendor agreements, consulting agreements, construction agreements, gaming agreements, marketing agreements, IT agreements, agency agreements, and similar documents.
  • Manages and utilizes contract management systems.
  • Monitors and advises on contractual deadlines timely.
  • Ensures that terms of contracts are in accordance with Company policies, applicable federal and state regulations and laws, business needs, and work to minimize the Company’s risks and exposure.
  • Assists with tracking and fulfilling terms of contracts, including renewal, termination, data and privacy requirements.
  • Communicates and works with outside or carrier counsel as necessary.
  • Provides assistance with litigation.
  • Modifies or makes recommendations to improve company procedures and processes.
  • Researches and advises on special issues.
  • Conducts legal and internet research as directed.
  • Routes documents for signatures via DocuSign or its equivalent to internal and external stakeholders.
  • Create processes and workflows that ensure productivity and conformance to Company best practices.
  • Administers records retention policy.
  • Collaborates with the Legal Team, Marketing Team, Human Resources Team, Risk Management Team, Compliance Team, Cyber Security Team, IT team and the Operations Team, along with leadership and stakeholders as necessary.
  • Investigates the facts of a case under direct supervision of General Counsel.
  • Drafts a variety of legal documents under supervision of General Counsel and variety of general correspondence directed by General Counsel.
  • Conducts research on relevant laws, regulations, and legal articles to assist with the preparation of reports, case files, and legal advice.
  • Provides support in drafting grant correspondence and reporting grant activities.
  • Organizes and maintains documents in a paper or electronic filing systems; organizes and tracks contracts, insurance documents, and case files.
  • Gathers and arranges evidence and other legal documents for General Counsel’s review and case preparation.
  • Writes reports to help General Counsel prepare for hearings and/or trials.
  • Drafts correspondence and legal documents, such as pleadings, contracts and instruments.
  • Gets affidavits and other formal statements that may be used as evidence in court.
  • Helps General Counsel during trials by handling exhibits, taking notes, or reviewing trial transcripts.
  • Files exhibits, briefs, appeals and other legal documents with the court or opposing counsel.
  • Schedules meetings with internal clients, lawyers, and outside vendors.
  • Provides general administrative assistance, such as maintaining the General Counsel's calendar.
  • Directing and coordinating law office activity, including delivery of subpoenas.
  • Gathering and analyzing statutes, decisions, and legal articles, codes, documents and other data.
  • Proofreads and drafts demand letters and other letters, as directed by General Counsel.
  • Notarizes and signs witnessing documents.
  • Manages immediate deadlines and prioritize appropriately.
  • Works with safety as a priority and follows safety standards.
  • Performs other duties as assigned.


Qualifications:

  • A minimum of 5 years relevant experience as a commercial paralegal either with a law firm, corporation, casino, or gaming company.
  • Paralegal certificate, or equivalent country certification, preferred.
  • Bachelor’s degree preferred.
  • Gaming, Tribal Gaming, whether regulated casino, casino gaming manufacturer, or traditional video games, or technology experience preferred.
  • Self-motivated and efficient, with good business judgment and analytical skills.
  • Ability to efficiently manage large workload and react promptly to multiple deadlines while meeting personal and team key performance objectives.
  • Ability to work independently.
  • Must be able to interact effectively at all levels and divisions of the Company.
  • Must possess working knowledge of legal terminology and principles.
  • Must maintain a professional demeanor.
  • Excellent written and oral communication skills.
  • Detail-oriented and organized.
  • Advanced Microsoft Office, Word, Excel, DocuSign, and Adobe Professional skills.
  • Ability to work in a dynamic, fast-paced environment and adapt quickly to changing priorities.
  • Must be able to multitask, handling a variety of assignments that are completed in timely and correctly.
  • Must be able to work with highly confidential and sensitive documents and information and maintain such confidentiality to protect the Company.
  • Basic knowledge of due diligence practices and procedures and the ability to analyze and evaluate such due diligence materials.
