The Corporate Governance Specialist works in concert with the Chief Risk Officer Director & Corporate Secretary to support the company's corporate governance framework, regulatory filings, board and committee meeting coordination and delegated legal support functions.
DU TIES AND R ES P O N SIBILIT I ES
Board and Committee Meeting Coordination and Logistics
Manage board and committee meeting scheduling and attend quarterly meetings to assist with logistics.
Prepare drafts of board and committee agendas, meeting materials, resolutions, and consents
Coordinate the collection, review, assembly, and distribution of meeting materials via the board portal.
Serve as recording secretary and prepare minutes for board(s) or committee(s) as assigned.
Corporate Governance Framework
Work cross functionally and collaboratively to assist, organize, and facilitate the work of various internal stakeholders who support the work of the board and its committees.
Maintain and update corporate records, including resolutions, bylaws, and corporate policies, ensuring accuracy and compliance.
Assist in the implementation and maintenance of corporate governance policies and procedures.
Securities and Exchange Commission (SEC), Federal and State Regulatory Filings
Assist with various SEC filings, including Form 8Ks and the proxy statement.
Prepare and file reports with the Federal Reserve
Annual Shareholder Meeting and Retail Shareholder Relations
Assist in proxy statement and proxy card preparation process, including electronic presentation of materials and printing and mailing of documents.
Serve as liaison to virtual shareholder meeting partner with primary responsibility for annual shareholder meeting technology functionality.

Bachelor's Degree or compensating work experience
Minimum 5 years' experience preferred working in a corporate governance or paralegal role in a public company
Experience providing support to executives or board of directors required.
Experience in banking, finance, insurance, or other government regulated business environment strongly preferred.
Excellent oral communication, research, writing, and editing skills.
Ability to handle confidential information with discretion and exercise professionalism and sophistication in interactions with directors and executives.
Ability to collaborate and work effectively and diplomatically across functions.
Attention to detail and commitment to accuracy.
Strong project management and organizational skills
