As a Corporate Counsel at ProSearch you will play a crucial role in managing contracts, driving compliance with contractual agreements, and raising potential business risks for resolution across the organization. Reporting directly to the COO, you will be responsible for managing a diverse portfolio of contracts, negotiating new agreements, and identifying, evaluating, and communicating risk factors on various business issues.



RESPONSIBILITIES:

Contract Negotiation and Management:

  • Support the needs of our sales teams to manage the contracting process and drive deals to closure.
  • Advise stakeholders regarding relevant issues and risks in our commercial contracts, and ensure our agreements reflect our internal corporate policies and processes.
  • Support business teams in structuring transactions, and drafting and negotiating agreements with vendors, including all forms of procurement, service, and technology agreements
  • Proactively manage contract renewals and reduce the time that the business must spend on procurement negotiation and approvals
  • Ensure compliance with company policies, legal requirements, client contractual obligations and industry standards in all contractual matters.
  • Develop and maintain contract templates, existing contracts, and standard operating procedures to streamline and organize the contract management process.
  • Conduct negotiations with external parties, including vendors, customers, and partners, while safeguarding the company's interests.
  • Resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.



Conflict Process:


  • Responsible for Client and Matter Conflict of Interest process
  • Manage and resolve any client conflicts that arise.


General Business:


  • Collaborate with cross-functional teams, including finance, operations, and HR around different risk factors related to business decisions. Provide counsel on contractual, compliance, and regulatory impacts of operational decisions including on privacy, security, and data protection.
  • Collaborate with cross-functional teams to develop and implement compliance programs.
  • Support on strategic transactions, including M&A, fundraising, and other transactions.
  • Engage and manage Outside Counsel, on corporate and contractual matters, for specific area expertise.



QUALIFICATIONS (KNOWLEDGE, SKILLS, AND EXPERIENCE):


  • Juris Doctor (JD) degree from an accredited law school. Active bar license required. Ability to become a Registered In-House Counsel in California.
  • 5-10 years of experience practicing law, with a focus on contract management, negotiation, and business law.
  • 2-5 years of experience in-house.
  • Demonstrated experience negotiating complex commercial agreements and resolving contractual disputes.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
  • Proven ability to analyze legal issues, exercise sound judgment, and provide practical solutions in a fast-paced environment.
  • Highly organized with strong attention to detail and the ability to manage multiple priorities simultaneously.

  • Technological proficiency
  • Experience with CLM (Contract Lifecycle Management) software, a plus.



PHYSICAL REQUIREMENTS:


  • Repetitive movement of hands and fingers-typing and/or writing.
  • Have close visual acuity to perform an activity such as: viewing a computer terminal, extensive reading.
  • Occasional standing and walking


Compensation: $150,000 - $220,000
