We are seeking a highly organized and detail-oriented Corporate, Compliance, and Real Estate Auctions Transaction Paralegal to join our high-volume auction house. The successful candidate will play a critical role in supporting our legal team in handling corporate governance, regulatory compliance, and real estate auction transactions. This position requires an individual with excellent multitasking abilities, strong legal knowledge, and experience in a fast-paced environment.
RESPONSIBILITIES:
Corporate Governance
Assist in the preparation, review, and management of corporate documents including articles of incorporation, bylaws, board resolutions, and meeting minutes
Maintain and update corporate records and databases
Ensure compliance with state and federal corporate governance requirements
Coordinate with internal departments to ensure timely and accurate filings
Experience with drafting corporate documents including written resolutions and board minutes is required
Regulatory Compliance
Monitor and ensure compliance with federal, state, and local regulations applicable to auction operations
Conduct regular audits to ensure adherence to compliance standards and report findings to the General Counsel.
Assist in the development and implementation of compliance programs and training for staff
Maintain up-to-date knowledge of relevant laws and regulations affecting the auction industry.
Real Estate Auctions
Assist in the preparation and review of documents related to real estate auction transactions, including contracts, deeds, title searches, and closing statements
Coordinate with external parties such as buyers, sellers, real estate agents, and title companies to facilitate smooth transactions
Conduct due diligence on properties, including zoning, environmental, and lien searches
Prepare and manage closing documents and ensure timely and accurate execution of transactions.
Transaction Support
Assist in the drafting, review, and management of a variety of legal documents related to auction transactions
Conduct legal research and provide summaries to attorneys on various legal issues
Coordinate and manage the transaction calendar, ensuring all deadlines are met
Assist in resolving any legal issues that may arise during auction transactions
General Duties
Maintain confidentiality of all legal matters
Provide administrative support to the legal team as needed
Stay informed about industry trends and legal developments affecting the auction business
Assist in special projects and perform other duties as assigned by the General Counsel
Requirements
Education and Experience
Bachelor's degree and Paralegal Certificate from an ABA-accredited program
Minimum of 5-7 years of experience as a paralegal, with specific experience in corporate law and real estate transactions
Experience in an auction house or high-volume transactional environment is highly preferred
Skills And Abilities
Strong understanding of corporate governance, compliance regulations, and real estate law
Excellent organizational skills with a high level of attention to detail
Ability to manage multiple tasks and prioritize effectively in a fast-paced environment
Proficient in legal research and writing
Strong communication and interpersonal skills
Proficiency in Google Workspace Suite and legal research tools
