My client is seeking a talented Corporate Attorney Associate to join our expanding securities group. This is an excellent opportunity to join and AmLaw 200 law firm and be part of a sophisticated and entrepreneurial practice in a collegial and supportive environment. Key Qualifications:

  • 4-6 years of in-depth experience with public company rules and regulations (Securities Act of 1933, Securities Exchange Act of 1934)
  • Expertise in public and private offerings of securities
  • Knowledge of national securities exchange listing rules
  • Experience with reporting on Forms 10-K, 10-Q, and 8-K
  • Proficiency in preparing proxy statements for annual and special shareholder meetings
  • Section 16 reporting (Forms 3, 4, and 5)
  • General corporate and corporate governance experience (e.g., drafting board resolutions, policies, press releases)
  • Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus

Compensation:

  • $210,000 - $235,000 annually
