Corporate Associate

About:

A nationally recognized law firm in Raleigh, North Carolina is seeking an experienced Corporate Associate to handle mergers & acquisitions matters.

The firm regularly represents regional, national and global companies that range in size from emerging growth businesses to large public companies. The firm has gained accolades from Chambers USA, BTI Consulting Group, Benchmark Litigation, Super Lawyers, and U.S. News – Best Lawyers.

Experience:

• The ideal candidate will have extensive M&A experience, including experience drafting and negotiating primary transaction agreements, as well as the ability and desire to lead project teams.
• Associates must have experience drafting LLC agreements, commercial contracts and/or similar documents for corporate entities.
• An interest in working with start-ups is a plus.
• Candidates must be a self-starter with excellent attention to detail and superb writing, research, and interpersonal skills.
• Applicants must have excellent legal research and writing skills and verbal communication skills.
• Associates must be licensed to practice law in North Carolina and be in good standing.

Responsibilities:

• Advise clients on mergers and acquisitions, corporate governance, commercial contracts, venture capital, and other corporate transactional matters.
• Coordinating transaction teams.
• Transaction management and due diligence.
• Assist with managing client relationships.
• Negotiating aspects of corporate transactions.
• Supervising junior associates.
