Description

gener8tor runs accelerators and venture capital funds to catalyze community, mentorship, network, conviction and capital to bridge a community's genius with opportunity. The gener8tor platform includes pre-accelerators, accelerators, corporate programming, conferences and fellowships. gener8tor operates venture capital funds and startup accelerators across 45 cities, 25 states and 3 countries, working with more than 300 startups per year. To date, gener8tor has worked with more than 1,500 startups that have cumulatively gone on to raise more than $2B in follow-on capital and employ more than 11,000 people.

gener8tor seeks an Associate Corporate Counsel to join our rapidly growing team. This position will work with the legal team to support our core business functions, including our investment process, sales efforts, and fund activity. As our Associate Corporate Counsel, you'll have a passion for venture capital and entrepreneurship, and a history in corporate law.

Responsibilities

  • Support a high-volume venture investment process, including conducting due diligence on potential portfolio companies and documenting investment transactions (e.g., SAFEs, convertible notes, stock purchase agreements, tying out cap tables).
  • Review a diverse range of venture-related transaction documents, including financings, mergers and acquisitions, shareholder consents, secondary sales, and dissolutions.
  • Facilitate contracting processes, including fund formation, limited partner subscriptions, sales contracting, and other signature processes.
  • Assist investment team and third party fund administrators with investor relations, including new limited partner onboarding
  • Draft, review, and negotiate a wide variety of commercial contracts, including professional services agreements, sales contracts, consulting agreements, and NDAs.
  • Maintain corporate entities through our third party entity management platform, and provide support for annual and periodic filings, equity grants, board resolutions, and share transfers.
  • Review and analyze leases and other basic legal documents to ensure compliance and mitigate legal risks.
  • Perform generalist legal tasks and provide legal support across various functions as needed.
  • Support the continuous development and improvement of standard form agreements and legal processes.
  • Provide high-level legal research on a variety of issues impacting the business.
  • Support the legal team's management of outside law firms.
  • Create and update company policies and provide training where needed.
  • Support the leadership team with ongoing and special initiatives, including IP portfolio management, process improvement, template development, training for business teams and use of technologies to increase efficiencies.
  • Support your gener8tor teammates across multiple programs.

Requirements:

  • JD degree from an accredited law school.
  • Licensed to practice law in at least one state.
  • Exceptionally strong written and oral communication skills with the ability to tailor communication style to diverse audiences ranging from entry level to board level.
  • 1-3 years of legal experience in a law firm or in-house position.
  • Experience in two or more of the following areas of law:
    • Early Stage Venture Capital Investment Transactions
    • Private Investment Fund Formation
    • Investment Advisers Act
    • Corporate Transactions
    • Tax
    • Commercial Contracts
    • Intellectual Property
  • Entrepreneurial spirit and a self-starter.
  • Coachable with a strong desire to learn and develop
  • Proactive approach to problem-solving and legal risk mitigation.
  • Enjoys working across departments and contributing to mission-critical projects.
  • Ability to work in a fast-paced, highly independent environment and juggle multiple ongoing projects, responsibilities and relationships.
  • Willingness to intensively and rapidly dive into understanding the needs of gener8tor's large and growing platform.
