Very similar and a complement to Independent Sponsor led transactions targeting $15 million to $100 million plus EV, search fund deals target acquiring companies for around $15 million EV, priced at approximately seven (7x) times EBITDA or less. Over the years, companies tracked by Stanford have shown annualized equity returns exceeding 30%! The target universe for search funds and Independent Sponsors is substantial, with nearly 200,000 businesses valued between $10 million and $100 million, according to NAICS Association data. Search funds often seek out companies with retiring family founders looking for liquidity. Middle and lower-middle market financial sponsors generally avoid targeting companies worth $15 million due to high overhead costs and the need to deploy significant amounts of capital. However, for individual entrepreneurs, these micro-sized deals are not only accessible but also offer attractive bargains. This has led to the emergence of specialized search PE funds alongside Independent Sponsor transactions. 🛰️ Extending the lives of satellites in geostationary orbit and disposing of end-of-life satellites and space debris in low-Earth orbit are reaching the commercial phase with three news items this week: two from the US and one from France. With SpaceX set to build the deorbit vehicle for International Space Station, this is the big one. It will be interesting to see how this segment will evolve. Mission success will guarantee a significant advance for the first one. It will probably become a winner-takes-all scenario, with the lion's share of the market going to the leader.

✨ Seraphim Space Index Highlights: Taxonomy 🌌 🛰 Downlink: Historically, it has been one of the smaller investment segments. However, the current and previous quarters have seen multiple significant deals with $30m+ rounds (Armada, Second Front Systems, Skyloom Global and Skylo Technologies). As a result of these deals, the category has seen the most significant year-over-year growth in investment. Technologies related to communications and cybersecurity are key enablers for satellite communications, one of the largest markets addressed by space today. 🔭 Build: is seeing increasing investment. We attribute this to the growth in the space segment, creating a larger market opportunity for businesses providing the building blocks for the space economy in terms of satellites, payloads,  and software. This quarter saw Hadrian, which produces precision machined components, raise the second largest round at $117m. 🚀 Beyond Earth: No standout deals in Q1 24. The TTM period has seen significant activity in large rounds from Sierra Space, Axiom, True Anomaly and more. In H2 2023, this sector attracted the greatest investment as investors back the next generation of space infrastructure. The sector has shown significant growth compared to the previous TTM period. My latest Substack post analyzes $XOM once again catching $TSLA in terms of market cap. Last 5 qtrs: $XOM returned ~$40bb to shareholders via divvies, buybacks. $TSLA: $0.00 That is what really matters. But the key to investing is the second derivative, and as EV sales slow (good for demand for oil, obvs, and for $XOM) I fail to see the Silver Bullet for $TSLA. Why? Because Elon let his product line get old. No amount of robotaxi/FSD necromancy is going to change that. Trade accordingly. Excelsior! --Jim

Interesting to see the implied rate of return on Gramercy’s loan to PG (20% pa). At those rates of return, it would suggest a higher risk profile but given the size of the loan also a high degree of conviction that the portfolio will pay out. This strikes me as being at the high end of the range for law firm portfolio loans where contingent fee interests are provided as security and likely reflective of the risk &/or expected duration. Time will tell…

On Thursday, stocks dropped as strong economic data fueled worries about continued high interest rates. Despite the broader sell-off, Nvidia continued to soar on impressive earnings and a stock split announcement. Boeing, however, plunged on production woes. In world markets, gold is sharply down on new dollar strength propelled by the unexpectedly hawkish tone of the FOMC minutes. Crypto prices plunged, with BTC leading the decline by nearly 3% and touching 67K. 🚀 2023 was a record year for the secondary market with $103B in closed transaction volume. 📈 The secondary market is still in its early days if you consider that VC and PE funds are holding almost $4T in unexited assets. With LPs pulling back new allocations from all but the largest, most reliable funds, it is no surprise that Apollo Global Management, Inc. forecasts the secondary market to double or even triple in size by 2027. 🔑 As LPs want to manage their private markets portfolio dynamically, secondaries represent an exit path for PE and VC funds that cannot be ignored. Having a liquidity strategy should be part of every GP's toolbox to generate distributions for their Limited Partners.
